Proposed Action
Staff recommends adoption of the following motion: Move to approve Agreement with Barr
Engineering Co. and Summer ate Development L
Passage of this motion will establish City, Barr Engineering Co. and Summergate
Development, LLC project responsibilities and costs associated with applying for a Letter of
Map Revision.
Overview
Summergate Development, LLC is coordinating with the City to apply to the Federal
Emergency Management Agency (FEMA) for floodplain modifications along South Creek
between Dodd Boulevard (CSAH -g) and 2o2' Street (CSAH -5o). A Letter of Map Revision
(LOMR) is FEMA's administrative procedure for modifying an existing Flood Insurance Rate
Map (FIRM). The FIRM is FEMA`s official map of the City showing the boundaries of the
floodplain areas where flood insurance is required. The proposed LOMR will be used to revise
the floodplain boundaries within the Donnelly Farm Addition subdivision.
Attached is a proposal from Barr Engineering Co. that provides the scope of work, estimated
costs and schedule for completing the LOMB application. Project funding will be provided by
Summergate Development, LLC.
Prirnary Issues to Consider
What is the purpose of the LOMB? The LOMB will provide the most accurate floodplain
information available and the revised FIRM will serve as a reference for future
floodplain management decisions.

PROFESSIONAL SERVICES AGREEMENT
AGREEMENT made this day of , 2014, by, between and
among the CITY OF LA.KEVILLE, a Minnesota municipal corporation ( "City "), BARR
ENGINEERING CO., a Minnesota corporation ( "Engineer ") and SUMMERGATE
DEVELOPMENT, LLC, a Minnesota limited liability company ( "Summergate ").
IN CONSIDERATION OF THEIR MUTUAL COVENANTS THE PARTIES
AGREE AS FOLLOWS:
I. DEVELOPMENT PROPOSAL. Summergate proposes to develop certain land in
the City of Lakeville which is in the floodpiain. Summergate intends to apply for a LOMR with
FEMA and needs the professional services set forth in this Agreement to file the application.
2. SCOPE OF SERVICES. The City retains Engineer to furnish the services set forth
in the Contract Documents, Barr Proposal Alternate "A," a copy of which is attached hereto. The
Engineer agrees to perfoml the services identified in said Proposal..
3. CONTRACT" DOCUMENTS. The following documents shall be referred to as the
"Contract Documents," all of which shall be taken together as a whole as the contract between the
parties as if they were set verbatim and in full herein:
A. This Professional Services Agreement;
B. Barr Proposal for Professional Services — Donnelly Farm Development
LOMR Application dated November 22, 2013; .
C. Insurance certificate.
In the event of conflict among the provisions of the Contract Documents, the order in which they
are listed above shall control in resolving any such conflicts, with Contract Document "A" having
the first priority and Contract Document "C" having the last priority.
4. COMPENSATION. Engineer shall be paid by the City for the services described
in the Contract Documents as Alternate "A" the sum of Thirty -seven Thousand Five Hundred
Dollars ($37,500.00), inclusive of taxes and reimbursable costs. The stated fees shall not be
adjusted if the estimated hours to perform a task, the number of estimated required meetings or
any other estimate or assumption is exceeded. Engineer shall invoice the City as the work
progresses and the City shall make progress payments to the Engineer.
5. REIMBURSEMENT. Summergate shall reimburse the City for all compensation
the City pays to the Engineer for services rendered by the Engineer pursuant to this Agreement.
Summergate shall escrow with the City Thirty -seven Thousand Five Hundred Dollars
($37,500.00) upon execution of this Agreement. The City shall draw on the escrowed funds to
pay the Engineer. If, as a result of the scope of work changing, and a change order occurring as

set forth in paragraph b below, the Escrowed funds are insufficient to pay the Engineer, the City
will invoice Summergate for the balance owed and Summergate shall pay the invoice within
thirty (30) days of receipt.
b. CHANGE ORDERS. All change orders, regardless of amount, must be
approved in advance and in writing by the Lakeville City Council and by Summergate. No
payment will be due or made for work done in advance of such approval.
7. DOCUMENTS. The City and Summergate shall be the owner of all documents,
reports, studies, analysis and the like prepared by the Engineer in conjunction with this contract.
S. S'T'ANDARD OF CAFE. Engineer shall exercise the same degree of care, skill,
and diligence in the performance of the services as is ordinarily possessed and exercised by a
professional Engineer under similar circumstances. City and Sunimergate shall not be
responsible for discovering deficiencies in the accuracy of Engineer's services. Engineer shall
be responsible for the accuracy of the work and shall promptly make necessary revisions or
corrections resulting from errors and omissions on the part of Engineer without additional
compensation.
9. COMPLIANCE WITH LAWS AND REGULATIONS. In providing services
hereunder, Engineer shall abide by all statutes, ordinances, rules and regulations pertaining to the
provisions of services to be provided.
10. INDEMNIFICATION. The Engineer shall indemnify and hold harmless the City
and Surmnergate, its officers, agents, and employees, of and froin any and all claims, demands,
actions, causes of action, including costs and attorney's fees, arising out of or by reason of the
execution or performance of the work or services provided for herein and further agree to defend at
their sole cost and expense any action or proceeding convuenced for the purpose of asserting any
claim of whatsoever character arising hereunder.
11. COPYRIGHT. Engineer shall defend actions or claims charging infringement of
any copyright or patent by reason of the use or adoption of any designs, drawings or
specifications supplied by them, and they shall hold harmless the City and Summergate from loss
or damage resulting therefrom.
12. INSURANCE. Engineer shall secure and maintain such insurance as will protect
Engineer from claims under the Worker's Compensation Acts, automobile liability, and from claims
for bodily injury, death, or property damage which may arise from the performance of services
under this Agreement. Such insurance shall be written for amounts not less than:
Commercial General Liability $1,000,000 each occurrence /aggregate
Excess /Umbrella Liability $2,000,000 each occurrence /aggregate
The City and Summergate shall be named as an additional insured on the general liability and
umbrella policies.

The Engineer shall secure and maintain a professional liability insurance policy.
Said policy shall insure payment of damages for legal liability arising out of the performance of
professional services for the City, in the insured's capacity as Engineer, if such legal liability is
caused by a negligent act, error or omission of the insured or any person or organization for which
the insured is legally liable. Said policy shall provide minimum limits of $1,000,000 with a
deductible maximum of $125,000 unless the City and Summergate agrees to a higher deductible.
Before commencing work the Engineer shall provide the City and Summergate a
certificate of insurance evidencing the required insurance coverage in a form acceptable to City and
Summergate. The certificate shall provide that such insurance cannot be cancelled until thirty (30)
days after the City and Summergate have received written notice of the insurer's intention to cancel
this insurance.
13. INDEPENDENT CONTRACTOR. The City hereby retains the Engineer as an
independent contractor upon the terms and conditions set forth in this Agreement. The Engineer is
not an employee of the City and is free to contract with other entities as provided herein. Engineer
shall be responsible for selecting the means and methods of performing the work. Engineer shall
furnish any and all supplies, equipment, and incidentals necessary for Engineer' performance under
this Agreement. City and Engineer agree that Engineer shall not at any time or in any manner
represent that Engineer or any of Engineer' agents or employees are in any manner agents or
employees of the City. Engineer shall be exclusively responsible under this Agreement for
Engineer's own FICA payments, workers compensation payments, unemployment compensation
payments, withholding amounts, and/or self - employment taxes if any such payments, amounts, or
taxes are required to be paid by law or regulation.
14. SUBCONTRACTORS. Engineer shall not enter into subcontracts for services
provided under this Agreement without the express written consent of the City and Summergate.
Engineer shall comply with Minnesota Statute § 471.425. Engineer must pay Subcontractor for
all undisputed services provided by Subcontractor within ten days of Engineer's receipt of
payment from City. Engineer must pay interest of 1.5 percent per month or any part of a month
to Subcontractor on any undisputed amount not paid on time to Subcontractor. The minimum
monthly interest penalty payment for an unpaid balance of $100 or more is $10.
15. ASSIGNMENT. No party shall assign this Agreement, or any interest arising
herein, without the written consent of the other parties.
16. WAIVER. Any waiver by either party of a breach of any provisions of this
Agreement shall not affect, in any respect, the validity of the remainder of this Agreement.
17. ENTIRE AGREEMENT. The entire agreement of the parties is contained herein.
This Agreement supersedes all oral agreements and negotiations between the parties relating to the
subject matter hereof as well as any previous agreements presently in effect between the parties
relating to the subject matter hereof. Any alterations, amendments, deletions, or waivers of the
provisions of this Agreement shall be valid only when expressed in writing and duly signed by the
parties, unless otherwise provided herein.

IS. CONTROLLING LAW/VENUE. This Agreement shall be governed by and
construed in accordance with the laws of the State of Minnesota. In the event of litigation, the
exclusive venue shall be in the District Court of the State of Minnesota for Dakota County
19. RECORDS. The Engineer shall maintain complete and accurate records of time
and expense involved in the performance of services.
20. MINNESOTA GOVERNMENT DATA PRACTICES ACT. Engineer must
comply with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as it
applies to (1) all data provided by the City pursuant to this Agreement, and (2) all data, created,
collected, received, stored, used, maintained, or disseminated by the Engineer pursuant to this
Agreement. Engineer is subject to all the provisions of the Minnesota Government Data Practices
Act, ineluding but not limited to the civil remedies of Minnesota Statutes Section 13.08, as if they
were a government entity. In the event Engineer receives a request to release data., Engineer must
immediately notify City. City will give Engineer instructions concerning the release of the data to
the requesting party before the data is released. Engineer agree to defend, indemnify, and hold City,
its officials, officers, agents, employees, and volunteers harmless from any claims resulting from
Engineer' officer's', agents', city's, partners', employees', volunteers', assignees' or subcontractors'
unlawful disclosure and/or use of protected data. The terms of this paragraph shall survive the
cancellation or termination of this Agreement.
21. TERMINATION. This Agreement may be terminated by the City with or
without cause by written notice delivered in person by fax, email or snail to the Engineer at the
following address:

Re: Proposal for Professional Services - Donnelly Farm Development LOMR Application
Dear Mr. Johnson:
Barr Engineering Company (Barr) is pleased to submit this proposal for providing assistance in applying
for floodplain modifications along South Creek between Dodd Boulevard (Highway 9) and 202' Street
W (Highway 50). This letter presents our understanding of the projects and our proposed work scope,
schedule, and cost for completing the work.
Scope of ork
Three alternative work scopes are included for developing a LOMR for the Donnelly Faun development
along South Creek. The first alternative (Alternative A) assumes that the South Creek portion of the
VRWJPO XP - SWMM model will be used for preparation of the LOMR submittal. The second. alternative
(Alternative B) assumes that the LOMR application will be prepared using the current effective Lake
Marion Branch of South Creek HEC -2 model. The third alternative (Alternative C) assumes that the
developer's engineer will prepare the LOMB application, and Barr will review the application before
submitting to FEMA. Below is a detailed description of each work task for the three alternatives. Table 1.
and Table 2 includes a summary of the work tasks and associated costs.
Alternative A — )LOMR Using the XP -SW1V M Model ($37,500)
The Donnelly Farm development includes several stormwater ponds located adjacent to the creek. The
storage volume provided by these ponds will likely have an impact on peak runoff rates reaching the
creek. Therefore, it is important to properly model the interaction between the stormwater ponds and flow
in the creek to accurately determine peak water surface elevations along South Creek. One of the benefits
of using XP- SWMM is that flow between the stormwater ponds and creek can be accurately characterized
in the model. Below is a detailed description of each work task. Table 1 includes a summary of the work
tasks and associated costs.
Task 1 — Update XP -SWMM Hydrologic Model to FEMA Specifications for Hydraulic Models ($11,6130)
As part of the LOMR submittal FEMA requires evaluation of the 0 2, 1, 2, and 10- percent flood
events and floodway analysis. The XP -SWMM model will be revised as needed for this evaluation.
Since the 0.2- percent event has not been evaluated with the XP -SWMM model, model revisions may
include extending cross sections or incorporating overflows to contain the entire 0.2- percent
floodplain.

Additionally, the recently updated XP -SWMM model is an unsteady flow model. This means that
flow through the model varies with time, and that the model uses the entire cross section for
conveyance and storage through the floodplain. Typically, this ineans that a small encroachment to
the floodplain will result in an increase in water surface elevations, or in other words, the floodway
maybe mapped with similar dimensions as the revised floodplain. Work items in this task include
preparation of the four models required for a LOMR submittal: the duplicate effective model, the
corrected effective model, the existing conditions model, and revised conditions model. Additional
work items also included within this task are:
® Add additional cross sections along South Creek as required by FEMA
Run the 0.2- percent event and revise cross sections, overflow, and storage areas as needed
Analyze the 1, 2, and 10- pereent flood events per FEMA requirements
Complete I - percent flood event floodway analysis
Task 2 - Inter Agency Hydrologic Review Committee (IAHRC) Submittal ($2,000)
Before FEMA reviews the hydraulics in the XP -SWMM. model, the new hydrology developed using
XP -SWMM must be reviewed and approved by the IAHRC. Hydrology for the South Creek will be
developed for the 1, 2, 10, and 0.2- percent flood events using the Atlas 14 precipitation depths and a
nested precipitation distribution. The hydrologic data from Task 1 will be summarized into and a
submittal will be prepared and sent to the IAHRC for review. The cost estimate for this task assumes
that the IAHRC - WHI" approve the hydrology without modifications to: the data "subinitted. ° =='
Task 3 — Prepare maps to FEMA Specifications for Application ($3,4€60)
Based on model results obtained during Task 1 floodplain delineations and annotated FIRMs will be
prepared for the LOMR submittal. The cost estimate for this task assumes that the revised floodplain
will tie -in to the effective FIRM at Dodd Boulevard and 202 Street W because the effective FIRM
does not indicate that 202' Street overtops. Additional inundation mapping and analysis will be
completed on a time and expense basis if the modeling indicates that 202 " Street or Dodd Boulevard
cannot be used as a. suitable tie -in locations based on FEMA specifications. Work items within this
task include:
® Prepare floodplain snaps for 1 FIRM panels
* Prepare topographic working map for 1 FIRM panels
® Annotated .FIRM for 1 panels
Task 4 — Prepare FEMA LOMB Submittal ($5,500)
Based on model results obtained during Task 1 the FEMA MT -2 fonns will be completed, and
supporting information developed for the LOMR submittal. Work items within this task include:
• Complete MT -2 application forms
• Prepare project narrative
• Package hydrologic and hydraulic model files for FEMA review
• Preparation of floodway data tables and flood profiles
FEMA requires that nearby property owners are notified of adverse changes to the floodplain on their
property. We assume that property owner notifications will not be necessary because the 1001 -year
floodplain should remain within the channel, and not extend onto residential parcels. Should property

owner notifications be required, Barr could assist with this task on a time and expense basis as
directed by the City.
Taste 5 — Meeting with City and Obtain City Concurrence ($1.100)
The LOMR application form requires a signature of a local official to acknowledge they are aware of
the application and that the LOMR request is consistent with their local floodplain ordinance. In this
case the local official will be a City staff member. It is assumed that City concurrence will not need to
go before the City Planning Commission or City council. This work task includes one meeting with
City staff to go over the requirements and LOMR application.
Task 6 — Subunit application to FEMA ($6,100)
We will prepare copies of the FEMA application and supporting materials and submit the application
to FEMA. Copies of the materials will also be provided to the City. The cost estimate for this task
includes to $5,300 LOMR application fee to FEMA.
Task 7 — FEMA follow -up ($4,000)
FEMA. will have questions regarding the information submitted for review. We have included 40
hours of time to coordinate with FEMA and respond to FEMA's questions. Additional
correspondence and coordination with FEMA during the review process will be completed on a time
and expense basis.
Task 8 — Project Meetings and Correspondence ($3,800)
It is anticipated that we will need to attend coordination/planning meetings with the City of Lakeville
during the project. We have assumed three meetings total. This work also includes providing regular
updates on the project status and coordination with the City and others.
Alternative B — LOMR Using the Effective HEC -2 Model ($40,900)
Alternative B includes updating the effective HEC -2 model to a HEC -RAS model for the LOMR
application. As part of this update, the City's HEC -1 hydrologic model would also need to be updated to
characterize the impact of the stornawater ponds adjacent to the creek. The cost estimate for Alternative B
assumes that the IAHRC will accept hydrology based on a HEC -1 model, and the existing model will not
need to be converted to HEC -HMS.
The following work scope has been developed assuming that the effective HEC -2 model will be
converted to a HEC -RAS model and used for preparation of the LOMR submittal. A description of
Task I is given below. The scope of services for Tasks 2 -8 are similar to the tasks listed in Alternative A.
Rather than reiterate the task descriptions for Alternative B, Table I includes a summary of the work tasks
and associated costs.
Task 1 -- Determine Post - Development hydrology for the Donnelly Farm Development and Convert HEC -2
Hydraulic Model to a KEC -RAS that meets FEMA Specifications ($15,000)
As part of the LOMR submittal FEMA requires evaluation of the 0.2, 1, 2, and 10- percent flood
events and floodway analysis. The first step in evaluating the required design events is to determine
the peak flow rates along the creek. The City's HEC -1 model will be updated to account for the
stormwater ponds adjacent to the creels, and used to determine the appropriate flow rates to use in the
HEC -RAS model. After determining the peak flow rates, the HEC -2 model will be converted to HEC -
RAS and updated to reflect the grading that has occurred adjacent to the creek. Work items in this
task include updating the hydrologic model, preparation of the four models required for a LOMB

The scope of services for tasks 2 -8 are similar to Alternative A. A summary of the work tasks and
associated costs is also included in Table 1.
Alternative C - Independent Review of LOMB Prepared by Developer's Engineer ($10,400)
We understand that the developer may select to hire an engineer to complete a LOMR application for the
Donnelly farm development. Therefore, the scope of services included in Alternative C includes a third
party review of submittal materials prepared by the developer's engineer to verify that the LOMB
submittal materials were prepared in conformance with FEMA specifications.
Since the model approved by FEMA will ultimately be used to revise the FIRM within the City. The
model should be developed following a methodology that is consistent with the C.ity!s WRMP and
VRWTPO „guidelines so that after the LOMR has been approved by FEMA, the City will,.have a single

model to reference for future floodplain management decisions. Therefore we are also proposing to
review the submittal from the developer's engineer for consistency with the VRWJPO standards.
For each task, following our review we will provide a brief technical memorandum to the City
summarizing our comments. We assume that there will be a single review for each task listed below, and
any additional review caii be completed on a time and expense basis. Table 2 includes a summary of the
work tasks and associated costs.
Task I - Review Inter Agency Hydrologic Review Commitfree Submittal ($3,900)
We will review the IAFIRC submittal prepared by the developer's engineer, including the hydrologic
model used to calculate flows along the creek. Our review will be for consistency between the
hydrologic and hydraulic models, and initial inundation maps of the floodplain.
Task 3 - Review LOMR Submittal ($6;500)
As part of the LOMB submittal FEMA requires hydraulic models to meet specific specifications. We
will review the hydraulic model prepared by the developer's engineer for consistency with FEMA
speeifications. We will also review the completed LOMR application form including all supporting
documentation for completeness and confonriance with FEMA specifications.
Schedule
We anticipate that the LOMR application submittal can be prepared within 6 months following
authorization to proceed and receipt of grading and storm sewer plans for the development. After the
LOMR application has been submitted it will depend on how long FEMA takes reviewing the submittal
package, before the FIRM is revised.
