Proposed Action.
Staff recommends adoption of the following motion: Move to approve Joint Powers
Agreement (JPA) with Dakota County and Agreement with Hoisington ICoegier Group Inc.
(HKGi) for an economic development and preliminary design study along Kenwood Trail from
Dodd Boulevard to I ava Avenue City Pro ect 1 -io.
Passage of this motion will establish City and County study responsibilities and costs, and
authorize the City to enter into an agreement with HKGi to provide professional services
according to the scope of work established in their proposal dated July 2, 2014.
Overview
The City and County propose to conduct a study to develop recommendations for land use and
a corresponding roadway design for Kenwood Trail to address the unique challenges
associated with the future roadway expansion that were identified in the County Highway 50
(Kenwood Trail) Corridor Study. The study will evaluate the corridor segment from Ipava
Avenue to Dodd Boulevard and include a public involvement process to engage existing
residential and commercial property owners located along this corridor.
City Council reviewed HKGi's proposal at the June 23, 2014 Work Session. Minor changes were
made to indicate potential savings if the number of stakeholder listening sessions outlined in
the proposal is reduced. The Dakota County Board of Commissioners is scheduled to review
the JPA on September 23, 203.4,

THIS AGREEMENT, made and entered into by and between the County of Dakota, referred to in
this agreement as the "County" and the City of Lakeville, referred to in this Agreement as the
„City"
WHEREAS, under Minnesota Statutes Section 162.17, subdivision 1 and 471.59, subdivision 1,
two governmental units may enter into an Agreement to cooperatively exercise any power common
to the contracting parties, and one of the participating governmental units may exercise one of its
powers on behalf,af'the other governmental units; and
WHEREAS, the County and City cooperated on a Transportation Study of County State Aid
Highway (CSAH) 50 (Kenwood Trail) from CSAH 60 (185"' Street) to just west of CSAH 9 (Dodd
Boulevard) in 2013; and
WHEREAS, the Transportation Study identified a number of challenges pertaining to expanding
CSAH 50 in relation to existing development between ipava Avenue and CSAH 9 (Dodd
Boulevard); and
WHEREAS, the County and the City seek to conduct an Economic Development and Preliminary.
Design Study to develop recommendations for land use and a corresponding design for local
streets and for CSAH 50 (Kenwood Trail) from Ipava Avenue to just west of CSAH 9 (Dodd
Boulevard) in Lakeville (the "Study,); and
WHEREAS, the County and the City require professional services as set forth in this Agreement to
conduct the Study to develop a plan to address the challenges along CSAH 50 (.Kenwood Trail)
between ipava Avenue and CSAH 9 (Dodd Boulevard).
:NOW, THEREFORE, it is agreed that the County and the City will share project responsibilities and
jointly participate in the project costs associated with completing .the Study<and related activities as
described in the following sections:
1. Economic Development and Preliminary Design Study. The City and County shall
cooperate to complete the Study, which shall involve:
i. the City and County working with existing residential and commercial
property owners along CSAH 50 between Ipava Avenue and CSAH 9 (Dodd
Boulevard);

fl. an evaluation of economic development possibilities and corresponding
roadway improvement options;
iii. preparation of Study reports and preliminary design plans and
recommendations; and
iv. a public involvement process to engage the community and evaluate
alternative plans.
The Study phase will start in September, 2014 with completion expected by April, 2415. All
reports, results, plans, recommendations, documentation and materials produced for the
Study shall be shared by the City and the County. The County shall be responsible for fifty-
five (55) percent of the Study cost, and the City will be responsible for forty-five (45) percent
of the Study cost.
2.. Contract Administration. The City received a proposal from Hoisington Koegler Groep Inc.
to effectively deliver the Study in a cost effective manner. The Hoisington Koegler Group
Inc. total proposed cost is $68,850, including reimbursable items. The City will enter`into a
contract with Hoisington Koegler Group inc., and will administer the contract and coordinate
the work of the consulting firm.
3. Payment. The City will act as the paying agent for payments to the consultant.Payments to
the consultant will be made as'the project work progresses and when certified for payment
by`ti e City"Engineer. The City, in turn, will bili`the County for its share of the professional
services as specified `in 'Paragraph 1. Upon presentation of an itemized claim by one
agency to the other, the receiving agency will reimburse: the invoicing agency for'its share
of the costs incurred under this agreement within 30 days from the presentation of the
claim. If any portion of an itemized claim is questioned by the receiving agency, the
remainder of the claim shall be promptly paid and accompanied by a written explanation of
the amounts in question. Payment of any amounts in dispute will be made following good
faith negotiation with the consultant and documentation of actual costs incurred in carrying
out the work.
4. Chane Orders and Supplemental Agreements. Any change orders or supplemental
agreements that affect the project cost participation must be approved by both parties prior
to execution of work.

5. Amendments, Any amendment to this Agreement will be effective only after approval by
both governing bodies and execution of a written amendment document by duly authorized
officials of each body.
6. Effective Dates. This Agreement will be effective upon execution by duly authorized
officials of each governing body and shall continue in effect until all work to be carried out in
accordance with this Agreement has been completed. Absent an amendment, however, in
no event Will this Agreement continue in effect after December 31, 2015.
7, Rules and regulations. The County and the City shall abide by Minnesota Department of
Transportation standard specifications, rules and contract administration procedures for the
project, unless amended by the contract specifications.
8. Indemnification. The County agrees to defend, indemnify, and hold harmless the City
against any and all claims, liability, loss, damage, or expense arising under the provisions
of this Agreement and caused by or resulting from negligent acts or omissions of the
County and/or those of County employees or agents. The City agrees to defend, indemnify,
and hold harmless the County against any and all claims, liability, loss, damage, or expense
arising under the:,provisions of this Agreement and caused by or resulting from negligent
acts or omissions of the City and/or those of City employees or agents. All parties to this
Agreement recognize =that .liability for any claims arising <under this,Agreement are subject to
the; provisions of the Minnesota Municipal Tort Claims Law; Minnesota Statutes, Chapter
466. In the event of any ,claims or actions fled against either party, nothing in this
.Agreement shall be construed to,allow a claimant to obtain separate judgments or separate
liability caps from the individual, parties.
9. Acts of Erngloyees. Any and all persons engaged in the work to be performed by the
County shall not be considered employees of the City for any purpose, including Workers
Compensation, or any and all claims that may or might arise out of said employment
context on behalf of said employees while so engaged. Any and all claims made by any
third party as a consequence of any act or omission on the part of said County employees
while so engaged on any of the work contemplated herein shall not be the obligation or
responsibility of the City. The opposite situation shall also apply: the County shall not be
responsible under the Workers Compensation Act, or any and all claims that may or might

arise out of said employment context on behalf of said -employees or agents of the City
while so engaged.
10. Audits, pursuant to Minnesota Statutes Sec 16 C. 05, Subd. b, any books, records,
documents, and accounting procedures and practices of the City and the County relevant to
the Agreement are subject to examination by the County or the City and either the
Legislative Auditor or the State Auditor as appropriate. The City and County agree to
maintain these records for a period of six years from the date of performance of all services
covered under this Agreement,
11. Integration and Continuing Effect. The entire and integrated agreement of the parties
contained in this Agreement shall supersede all prior negotiations, representations or
agreements between the City and the County regarding the project; whether written or oral.
Neither party will be bound by the recommendations of the consultant and each agency
shall retain final decision-making authority with respect to road improvements within their
respective areas of responsibility

PROFESSIONAL SERVICES AGREEMENT
AGREEMENT made this day of . 2014, by and between the CITY
OF LAKE LLE, a Minnesota municipal corporation ("City") and HOISINGI'ON KOEGLER
GROUP INC., a Minnesota corporation ("Consultant").
IN CONSIDERATION OF THEIR MUTUAL COVENANTS, THE PARTIES
AGREE AS FOLLOWS:
1. CONTRACT DOCUMENTS. The Contract consists of the following documents.
In the event of conflict among the documents, the conflict shall be resolved by the order in which
they are listed, with the document listed first having the first priority and the document listed last
having the last priority:
A. This Professional Services Agreement;
B. Letter from Consultant dated July 2, 2014 RE: Proposal for an Economic
Development Study and Preliminary Engineering along Kenwood Trail (CSAI-I 50) from. 1pava
Avenue to Dodd Boulevard
2. SCOPE OF SERVICES. The City retains Consultant to provide the professional.
services described in the Contract Documents.
3. COMPENSATION. Consultant shall be paid by the City an amount not to exceed
Sixty Eight Thousand Eight Hundred Fifty and no/100 Dollars ($6$,850.00), which fee is inclusive
of reimbursables such as mileage and copies. The fee shall not be adjusted if the estimated hours
to perform a task, the number of estimated required meetings or any other estimate or assumption
are exceeded. Consultant shall invoice the City monthly for work performed. The City will
normal]y pay an invoice within thirty-five (3 5) days of receipt.
4. CHANGE ORDERS. All change orders, regardless of amount, must be
approved in advance and in writing by the City. No payment will be due or made for work done
in advance of such approval.
5. DOCUMIENTS. The City shall be the owner of all documents, reports, studies,
analysis and the like prepared by Consultant in conjunction with this Contract.
b. COMPLIANCE WITH LAWS AND REGULA'T'IONS. In providing services
hereunder, Consultant shall abide by all statutes, ordinances, rules and regulations pertaining to the
provisions of services to be provided,
7. STANDARD OF CARE. Consultant shall exercise the same degrees of care,
skill, and diligence in the performance of the services as is ordinarily possessed and exercised by
a professional consultant under similar circumstances. No other warranty, expressed or implied,
is included in this Agreement. City shall not be responsible for discovering deficiencies in the
accuracy of Consultant's services.

S. INDEMNIFICATION. Consultant shall indemnify and hold harmless the City, its
officers, agents, and employees, of and from any and all claims, demands, actions, causes of action,
including costs and attorney's fees, arising out of or by reason of the execution or performance of
the work or services provided for herein and further agrees to defend at its sole cost and expense any
action or proceeding commenced for the purpose of asserting any claim of whatsoever character
arising hereunder.
9. INSURANCE. Consultant shall secure and maintain such insurance as will protect
Consultai-it from claims under the Worker's Compensation Acts, automobile Iiability, and from
claims for bodily injury, death, or property damage which may arise from the performance of
services under this Agreement. Such insurance shall be written for arrrounts not less than:
Commercial General Liability $1,000,000 each occurrence/aggregate
Automobile Liability $'1,000,0.00 combined single limit
Excess/Umbrella Liability S200,000 each occurrence/aggregate
The City shall be named as an additional insured on the general liability and umbrella policies on a
primary and noncontributoly basis.
The Consultant shall secure and maintain a professional liability insurance policy.
Said policy shall insure payment of dama1-1
ges for legal liability arising out of the performance of
professional services for the City, in the insured's capacity as Consultant, if such legal liability is
caused by a negligent act, error or omission of the insured or any person or organization for which
the insured is legally liable. The policy shall provide minimum limits of One Million Dollars
(51,000,000.00) with a deductible maximum of One Hundred Thousand Dollars ($1.00,000.00).
10• INDEPENDENT CONTRACTOR. The City hereby retains Consultant as an
independent contractor upon the terms and conditions sett forth in this Agreement. Consultant is not
an employee of the City and is free to contract with other entities as provided herein. Consultant
shall be responsible for selecting the means and methods of performing the work. Consultant shall
furnish any and all supplies, equipment, and incidentals necessary for Consultant's performance
under this Agreement. City and Consultant agrec that Consultant shall not at any time or in any
manner represent that Consultant or any of Consultant's agents or employees are in any manner
agents or employees of the City. Consultant shall be exclusively responsible under this Agreement
for Consultant's own FICA payments, workers compensation payments, unemployment
compensation payments, withholding amounts, and/or self-employment taxes if any such payments,
amounts, or taxes are required to be paid by law or regulation.
11. SUBCONTRACTORS. With the exception of the individuals identified in. the
Proposal. Consultant shall not enter into subcontracts for services provided under this Agreement
without the express written consent of the City. Consultant shall comply with Minnesota Statutes
§471.425. Consultant must pay subcontractors for all undisputed services provided by
subcontractors within ten (10) days of Consultant's receipt of payment from City. Consultant
roust pay interest of one and five -tenths (1.5%) percent per month or any part of a month to
subcontractors on any undisputed amount not paid on time to subcontractors. The minimUln.
monthly interest penalty payment for an. unpaid balance of One Hundred Dollars ($100.00) or
more is Ten Dollars ($1.0.00).

12. ASSIGNMENT. Neither party shall assign this Agreement, nor any interest arising
herein, without the written consent of the other party.
13. WAIVER. Any waiver by either party of a breach of any provisions of this
Agreement shall not affect, in any respect, the validity of the remainder of this Agreement.
14. ENTIRE AGREEMENT. The entire agreement of the parties is contained herein.
This Agreement supersedes all oral agreements and negotiations between the parties relating to the
subject natter hereof as well as any previous agreements presently in effect between the parties
relating to the subject matter hereof. Any alterations, amendments, deletions, or waivers of the
provisions of this Agreement shall be valid only when expressed m writing and duly signed by the
parties, unless otherwise provided herein.
15. CONTROLLING LAW/VENUE. This Agreement shall be governed by and
construed in accordance with the. laws of the State of Mimiesota. In the event of litigation, the
exclusive venue shall be in the District Court of the State of Minnesota for Dakota County.
16• COPYRIGHT. Consultant shall defend actions or claims charging infringement
of any copyright or patent by reason of the use or adoption of any designs, drawings or
specifications supplied by it, and it shall hold hanuless the Cit;/ from loss or damage resulting
there from.
17. PATENTED DEVICES, MATERIALS AND PROCESSES. If the contract
requires, or Consultant desires, the use of any design, devise, material or process covered by
letters, patent or copyright, trademark or trade name, Consultant shall provide for such use by
suitable legal agreement with the patentee or owner and a copy of said agreement shall be filed
with the City. If no such agreement is made or filed as noted, Consultant shall indemnify and
hold harmless the City from any and all claims for infringement by reason. of the use of any such
patented designed, device, material or process, or any trademark or trade name or copyright in
connection with the services agreed to be performed under the contract, and shall inderrinify and
defend the City for any costs, liability, expenses and attorney's fees that result frorrr any suchinfringement.
18. RECORDS. Consultant shall maintain complete and accurate records of time and
expense involved in the performance of services.
19. MINNESOTA GOVERNMENT DATA PRACTICES AC's'. Consultant must
comply with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as it
applies to (1) all data provided by the City pursuant to this Agreement, and (2) all data, created;
collected, received, stored, used, maintained, or disseminated by Consultant pursuant to this
Agreement. Consultant is subject to all the provisions of the Minnesota Goverrrtnent Data Practices
Act, including but not limited to the civil remedies of Minnesota Statutes §133.08, as if it were a
government entity. In the event Consultant receives a request to release data, Consultant must
inamediately notify City. City will give Consultant instructions concerning the release of the data to
the requesting party before the data is released. Consultant agrees to defend; indcmnifyr, and hold
City, its officials, officers, agents, employees, and volunteers harmless from any claims resulting
from Consultant's officers', agents', city's, partners'. employees', volunteers', assignees' or

subcontractors' unlawful disclosure and/or use of protected data. The terms of this paragraph shall
survive the cancellation or termination of this Agreement.
20. TERMINATION OF THE AGREEMENT. The City may terminate this
Agreement or any part thereof at any time, upon written notice to Consultant. effective upon
delivery including delivery by facsimile or email. In such event, Consultant will be entitled to
compensation for work performed up to the date of termination based upon a pro rata basis.

To support the planning efforts, we have :included the engineering services of SRF .Consulting who have a
strong working relationshipwlth Dakota.County, andthe public finance exp:ertise.of.Springsted Who
currently serves as the City: of Lakeville's public finance consultant. We have teamed together on
numerous master planning and corridor studies throughout the Twin Cities including recent projects in
North St; Paul and Penn Avenue in North Minneapolis.
The City of Lakeville should be commended;on'taking a .proactive.approach in p.Ianning:forthe long-term
use of this portion of the CSAH 50 corridor. We .agree that directly engaging the: existing. businesses
(those who will be most impacted by the planned roadwayimprovements) throughout the entire
planning process will lead to a successful strategy for the fut.u:re:land :use designation and
redevelopment approach, as well as theappropriate roadway designs for this unique segment .of CSAH
50. To accomplish this we'veoutli.ned.:an approach for in.div:idual listening. sessions;with these key
stakeholders at three specific times' throughout the.. process. Depending on the.feedba.ck from the initial
meetings With stakeholders and desired project outcomes, the number of meetings could be reduced
resulting in.a reduction' to the project,.fees.
Our team's extensive experience in stakeholder and community' involvement, creative approach to
redevelopment; master planning, roadway design and engineering; and deep knowledge public finance
strategies will lead to the creation of a redevelopment strategy and supported roadway.design that is
realistic, marketable, and combines the interests of all stakeholders.
To complete this effort the HKGi Team offers the following work pian:
Task 1- UNDERSTAND WHAT EXISTS
The HKGi team will begin its process with a kick-off meeting with City staff to confirm the project goals
and outcomes, solidify the project schedule, collect background data, and establish lines of

communication. It is also recommended that a portion of the kick-off meeting include representatives of
Dakota County, to discuss any additional issues that may affect the corridor.
The H.KGi team will then collect all of the necessary background data and materials to create base maps
to help us better understand the characteristics of the corridor. This analysis will include a variety of
land use, economic development, and transportation factors, including existing land use, zoning, natural
resources, property ownership, and key aspects of the planned transportation network condition such
as the location of the Y4 access between Ipava Avenue and scenic Trail that will help drive the concept
alternatives. it also will include a review of relevant background documents, such as the City's
Comprehensive Plan and Capital Improvement Plan (CIP), and the County !load 50 Corridor Study
developed by Dakota County. A windshield survey of the study area will be conducted to gather photos,
confirm the results of the GIS and mapping analysis as needed, and determine if additional areas should
be included in the study and to what level.
As one of the key steps of Task 1, the HKGi Team will conduct individual listening sessions with each of
the five commercial property owners (White Funeral Homes, McDonald. Eye Care, Lakeville Dental, .
Lakeville Family Practice, and the Day Care / Farm Show Magazine site) as well as a joint meeting with
the School District and -Lakeville Hockey. Association to discuss'plans fortheir sites if necessary. These
individual listen ingsessions will ahow 'the.stake holders the opportunity °to:voice'concerns,<ask.:questions,
and provide he necessary input for exploration in the concept,alternatives. .purteam:will ask questions
ranging from current.issues with'the site,. plans for.:f:uture ex:pansio:n,::and long:term goals for each of the
property: owners. We are anticipating approximately one :ho:ur for each meeting; and to the extent
possible; trying to conduct the meetings sequentially on a single day, if schedules permit. We assume
City staff will coordinate'the scheduling of these meetings. -

TASK 2 - EXPLORE THE POSSIILITIES
Task 2 will focus.on'the exploration and refinement of the land use and site redevelopment concepts
and the corresponding roadway design alternatives for the County Road 50 corridor between'lpava
Avenue,and Dodd Boulevard. Having the basic understanding of three concept alternatives established
in Task 1, our team -will develop up to three preliminary concepts for land use, site design, .roadway
design and stormwater treatment. Roadway designs along CSAR 50 will be based on current`MnDOT
State Aid Standards and utilize Dakota County `Access: Management Guidelines. Stormwater treatment
will include identification of the local watershed districts rules and regulations, calculations of additional
impervious surfacing per alternative, and preliminary pond/BMP sizing and .location identification. Land
use and site design concepts will show build.in. g footprints :(potential expansion or modification), site
circulation, parking, and general locations for landscaping and signage.
We will utilize a charrette, or workshop approach to edit, critique, and refine the conceptalternatives

Once the concept alternatives have been vetted with staff, our team (with City Staff) will conduct our
second round of Listening Sessions to walk through the concept alternatives with stakeholders. We will
also conduct a neighborhood meeting after the individual listening sessions to gain additional input from
adjacent land and business owners directly affected by the roadway design and potential land use
changes. Our Team will .summarize the feedback from the Listening Sessions and Neighborhood
Meeting and review with City and Dakota County staff to finalize the preferred concept alternative. We
will provide the materials for City staff to update the Planning Commission and City Council on the
status of the planning effort.

Task 3 will .be focused on developing the preferred concept plan and identifying and evaluating potential
implementation strategies that will enable the plan to become a reality. Public finance expertise,
provided by Springsted, Will be instrumental in identifying what public investments are needed and what

Bryan Harjes of HKGi will..be the project: manager and.<coordinate;preparatio.n of the :land use and site
development planning and lead the stakeholder engagement .effo:rt. jen Cater with :HKGi will provide
stakeholder engagement and master planning support, and Sarah Ash of HKGi will be the assistant
designer/landscape architect.
Brian Johnson of SRF will provide engineering expertise and coordination with City Engineering:and,
Dakota County Transportation and assist in stakeholder engagement. Bob Leba will assist in design of
stormwater management areas. 'Mikaeia Huot with Stingsted will provide public finance strategies and
formulate the redevelopment tool kit.
ESTIMATE OF FEES:
The HGKi Team will complete the above process and provide the deliverables for a not -to -exceed
consultant services fee of $68;850 including direct expenses (travel and printing). This includes a sub -
consultant fee of $28,100 for. SRF Consulting and $7.;500 for Springsted. Fees allocated by task are as
