APPROVAL OF AMENDMENT NO. I TO THE ENGINEERING SERVICES AGREEMENT
WITH BLACK & VEATCH FOR IMPROVEMENTS TO THE
WATER TREATMENT FACILITY
Proposed Action
Staff recommends adoption of the following motion: Move to approve Amendment No. 1 to
the engineering services agreement with Black and Veatch for improvements to the Lakeville
Water Treatment Facility.
Approval of this amendment allows Black & Veatch to follow engineering and design work
with construction phase services for the Water Treatment Facility Improvement Project
Overview
In 2013, Black & Veatch completed an expansion study for the WTF to help determine the next
steps for the expansion of the facility to meet the water needs of residents. The agreement
for engineering and design of those improvements was entered into by the City and Black &
Veatch on 17 March 2014 for $285,000.
With the acceptance of bids and award of the contract through separate City Council action,
the engineering and design phase of the project is complete. For the construction phase of
the project, staff has requested that Black & Veatch provide additional services at a not to
exceed cost of $129,000. Public Works staff will do site inspections during the construction
phase which reduced the overall cost of the amendment by approximately $50,000.
Construction phase services include management of documentation and site visits to assist
the City in completing the project on schedule. Staff recommends approval of this
amendment.
Primary Issues to Consider Y
Are construction phase services necessary? Yes, these services including verification of
pay requests, contractor schedules, and shop drawing reviews, as well as progress review
meetings, final inspections, and punch list completion are best handled by the
professional staff that put together the design of the project.

AMENDMENT NO. I
TO
PROFESSION -AL SERA -ICES AGREENIENT
THIS AMENDMENT NO. i is by and between the Cite of Lakeville. Minnesota
("Owner-) and Black .fi, Veatch Corporation ("Engineer").
WHEREAS, Owner and Engineer entered into an Agreement dated March 17. -1014
(Agreement) for professicnal services related to the Lakeville Water Treatment Facility
(%1rF) Upgrade Project ("the hoject); and
WHEREAS. Owner desires to expand the sera ices required of Engineer in connection
with the Project;
NONY THEREFORE. the Owner and Engineer agree to amend and modify the
Agreement as follows_
Add Construction Phase Services for the Project. as described in Attachment A of
this Amendment
Revise Attachment B of the Agreement as follows.
Revise the first sentence to read;
..For the services covered by this Agreement. Owner agrees to pay
Engineer on an hourly basis plus expenses in a total amount not to exceed
$414.000 for the services as described in Attachment A."

ATTACHMENT A — SCOPE OF SERV ICES
Owner: City of Lakeville
Engineer: Black & Veatch
Project: Lakeville WTF Improvements Project
PEUSE 4000 CONSTRUC'TIO1 PHASE SERVICES
Engineer will perform services during the anticipated 9 -mouth construction phase of the
project. By performing these services. Engineer shall not have authority or respo w ibiiity
to supervise. direct. or control the Contractor's wort or the Contractor's means. methods.
techniques. sequences. or procedures of construction. Engineer shall not haveauthority
or responsibility for safety: precautions and programs incident to: the Contractors work or
for any failure of the Contractor to comply with laws. regulations. rales. ordinances.
cocks. or orders applicable to the Contractor fiunishing and performing the work.
Specific services to be performed by Engineer are as follows
A. Pre -Construction Services
Using addenda issued during the bidding period. prepare conformed documents
by revising contract documents to incorporate all changes made by addenda.
Submit one cope of full size drawings and specifications. and submit fire (5)
copies of half size drawings and specifcatiow. to the Ower. Submit a CD of
drawings and specifications in a single PDF file to the Owner and Contractor.
Provide up to 10 sets of half size drawings and 10 copies of the specifications to
the Contractor.
B. Construction.. Administration Support Services,
Contracto Ce. Schedule -- Determine if Contractor's schedule is consistent with
the construction contract documents with emphasis on milestone dates.
construction sequencing. and operation of existing facilities during
construction. Engineer` s review shall not include an analysis of Contractor's
approach. means or methods of constructiern to perforin the work specified in
the construction contract documents.
• Review and comment upon the Contractor`s initial constriction schedule
• Review and comment upon updated schedules monthly,
?. Contractor's Estimates of Monthly Payments -- Review the Contractor's initial
and updated schedule of estimated mcathly payments and advise Owner as to
acceptability.

3. Contractors Guarantees. Bonds. and Certificates - Receive guarantees. bonds.
and certificates of inspection, and tests and approvals that are to be assembled
by the Contractor. Review for completeness in accordance with the
construction contract documents and transmit them to Owner.
4. Contractor's Wage Rate Information - Contractor is to submit wage rate
information directly to the Owner without involving the Engineer.
5. Shop Drawing Review -- Review drawings and other data .submitted by the
Contractor as required by the construction contract documents. Engineer's
review shall be for general conformity to the construction contract documents
and shall not relieve the Contractor of any of their contractual responsibilities..
Such reviews shall not extend to means. methods. techniques. sequences. or
procedures of construction or to safety precautions and programs incident
thereto.

received in Contractor submittals as required by the construction contract
documents. Submit electronic versions to Owner on original vendor compact
disc.
Requests for Information. Change Carders. and Claims v The level of effort
included for the following services is 248 work- hours. Any additional effort
related to this task shall be considered as supplemental services.
a. Requests for information. -- Interpret construction contract documents when
requested by owner or the Contractor. Requests for clarification or
information shall be in writing and copies of Engineer -s response shall be
distributed to Owner.
b. Change Orders -- Review* Owner or Contractor requests for project changes.

8. Performance Testing of Equipment - Analyze data from performance testing of
equipment by the Contractor or supplier when the construction contract
documents require the equipment to be tested after installation. Submit
conclusions to Owner.
9 Contractor Pay Requests -- Review and process the Contractor's monthly
payment requests. and forward to Owner if appropriate. Engineer's review shall
be for the purpose of making a full independent mathematical check- of the
C°ontractoes payment request. Owner is responsible for verifying the quantities
of wort: which are the basis of the payment requests.
10. Drawings Conformed to Conwtruction Records -Upon completion of the
project: revise the construction contract drawings to conform to the construction
reccrds. Submit electronic documents to Owner in AUTOCAD 201'_ format
and Adobe PDF. and fire (5) ccpies of 11x17 inch drawings.
11 Consent of Surety - Assist Owner in applying for Surety's consent to final
payment.
B. Field Support Services.
I Preconstruction Conference - Conduct the preconstruction conference at a date
and time selected by Owner and at a facility provided by Owner. Elements sof
the conference include:

. Engineer prepare and distribute minutes
Discussion of Contractors tentative schedules
• Procedures for transmittal and review of Contractor's submittals
• Processing applications for payment
• Critical work sequencing
• Change orders
• Record documents
• Contractor's responsibilities for safety; and fust aid
2. Construction Progress Review; Meetings -Visit the construction site to observe
progress of the work-, and consult with the Owner and the Contractcr. A total of
twelve (12) meetings are included.
3. Punch List - Upon substantial completion. inspect the construction work and
prepare a punch list of those items to be completed or corrected before final
completion of the project. Submit results of the inspection to Owner and the
Contractor. A total of 24 hours for inspection is included.

4. Final Inspection — Upon completion cr correction of the items of work: on the
punch list. assist Chvner to conduct a final inspection to determine if the work is
completed. Provide written recommendations to Ownet concerning final
payment. including a list of items. if any. to be completed prior to making such
pa -v utent. A total of 8 hours for inspection is included.
PEUSE 6000. SUPPLEMENTAL SERVICES
Supplemental services are not in the scope of w ork for this contract. These services will be
performed at Owner *s request with compensation adjustments. Supplemental services that
Owner might choose to add to the scope of services include. but are not limited to. the
following items.
I . Site Observations and Liaison with Owner and Contractor
a. Owner will furnish a part-time Resident Project Representative. who will observe
and inspect the Contrartor's wort. and determine if the work is proceeding in
accordance with the construction contract documents. However. the Owner may to
supplement this observation and inspection during the course of the project.
Engineer can conduct these onsite observations of the general progress of the work:
and these serviceswill be billed at S125 °hour plus mileage to and fiom the
construction site.

a. Laboratory and field testing and any reports or studies on materials and equipment
requested by Owner.
b. Observing factory tests and or field retesting of equipment that fails to pass the
