LAKEVILLE AREA ARTS CENTER SOUND SYSTEM AGREEMENTS
WITH EMI AUDIO.
Proposed Action
Staff recommends adoption of the following motion: Move to approve the Agreement with
EMI AUDIO for the Lakeville Area Arts Center Sound System Proiect utilizing $24.776.75 in
donations and $24,776.76 from the Building Fund and approval of the attached resolution
accepting the donations.
The passage of this motion will result in the Mayor and City Clerk executing the Agreement
with EMI AUDIO.
Overview
At the June 22 City Council work session, staff made a presentation to the Mayor and City
Council regarding technical issues and a replacement plan for the sound system at the Arts
Center.
Staff recently prepared bid documents and received sealed bids for the installation of a new
sound system. The low quote for replacement of the sound system was submitted by EMI
AUDIO at a cost of $49,553.51. Understanding that this is an unbudgeted expense staff has
worked with The Friends of the Lakeville Area Art Center, Expressions Community Theatre
and the Lakeville Lions Club to secure donations to help defray the cost of a new sound
system. The Lions have agreed to donate $1,500, Expressions has agreed to donate $7000 and
the Friends have agreed to donate up to $16,276.75, equivalent to half of the projected
project. The remaining $24,776.76 would need to be covered by the City.
In the 2015 Building Fund (Art Center) budget, $27,000 was appropriated for waterproofing
the greenroom under the office area. This project has been pushed out to at least 2016 so
that staff (Facilities & Parks & Rec.) can evaluate the water and drainage issues affecting the
entire building and recommend a comprehensive solution.
Staff is recommending that the 2015 Building Fund (Art Center) budget be amended to
reflect the full cost of the project and the corresponding donation revenues.

RESOLUTION ACCEPTING DONATIONS
TO THE LAKEVILLE AREA ARTS CENTER DURING 2015
WHEREAS, MN Statute 465.03 requires that cities accept donations for the benefit of
its citizens in accordance with the terms prescribed by the donor; and
WHEREAS, the City of Lakeville, Lakeville Area Arts Center has received donations of
money, from the Friends of the Lakeville Area Arts Center totaling $16,276.75, Expressions
Community Theater totaling $7000.00, and Lakeville Lions Club totaling $1,500.00; and
WHEREAS, the donations were beneficial to the department; and
WHEREAS, the additional revenues received may require the City to incur additional
expenditures in order to comply restricted donations.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Lakeville,
Minnesota that the donations are hereby officially accepted and acknowledged with
gratitude to the donors; and
BE IT FURTHER RESOLVED that City staff is authorized to amend the budget to
comply with restrictive donations.

(This proposal will replace the existing speaker system with a Bose RoomMatch speaker system. The RoomMatch progressive
Jirectivity array loudspeaker represents the next evolution of the line -array concept. The RoomMatch array delivers concert quality
sound to every seat in the venue. We will add a Bose RoomMatch dual subwoofer to add low end augmentation for the system.
All of the amplifiers will be replaced with two Bose PM8500 amplifiers. Each of the amplifier is 8 channels with 400,0 watts of
cower. The PM8500 has built in signal processing to provide equalization for the sound system. The existing power sequencer
Nill be replaced with two Furman CN -2400S 20 amp sequencers. We have included a Tascam CD2001L CD player with a built-in
(pod dock to replace your existing CD player. This will allow you to play music with either a CD, [pod, (phone, or Computer. The
existing rack will be replaced with a floor standing Middle Atlantic rack to accommodate the deeper electronics. The mixer will be
-eplaced with a new Allen & Heath GLD80 digital mixer. The GLD has full input DSP including Parametric EQ, Graphic EQ,
Compressor, and Gate. This processing will greatly improve audio quality. The AB -168 stage box will contains 16 inputs and 8
outputs. The stage box will be connected to the GLD surface via one Cat 5 cable. The AR24-12 audio rack will be located in the
sound booth to give the system an additional 24 inputs and 12 outputs. The mixer will have a total of 48 inputs and 28 outputs.
This proposal will replace your monitor speakers with high quality passive EV monitors. Two of the EV speakers will replace the
speakers that are mounted on the wall firing in at the stage. The existing four EV monitors will be used on the stage. This speaker
enclosure utilizes Signal Synchronized Tranducers. This design aligns the woofer and compression driver by locating them on
separate baffles, and integrates a low distortion port between the baffles. We have included eight Rapco 25' speak -on cables for
the floor monitors. All Rapco cables include a lifetime warranty.

AGREEMENT
CITY OF LAKEVILLE
DAKOTA COUNTY, MINNESOTA
AGREEMENT made this 20th day of July, 2015, between the CITY OF LAKEVILLE, a Minnesota
municipal corporation ("City"), and EMI Audio, a corporation organized and existing under the laws of the State of
Minnesota ("Contractor").
IN CONSIDERATION OF THE MUTUAL UNDERTAKINGS HEREIN
CONTAINED, THE PARTIES AGREE AS FOLLOWS:
1. CONTRACT DOCUMENTS. The following documents shall be referred to as the "Contract
Documents", all of which shall be taken together as a whole as the contract between the parties as if the were set
verbatim and in full herein:
A. This Agreement
B. Request for Bids for the Lakeville Area Arts Center Sound System
Project dated June 26, 2015
C. Sealed Bid dated July 13, 2015
In the event of conflict among the provisions of the Contract Documents, the order in which they are listed above
shall control in resolving any such conflicts with Contract Document "A" having the first priority and Contract
Document "C" having the last priority.
2. OBLIGATIONS OF THE CONTRACTOR. The Contractor shall provide the services and perform the
work in accordance with the Contract Documents.
3. OBLIGATIONS OF THE CITY. The City shall pay the Contractor in accordance with the Quote.
4. ASSIGNMENT. Neither party may assign, sublet or transfer any interest or obligation in this
Contract without the prior written consent of the other party, and then only upon such terms and conditions as
both parties may agree to and set forth in writing.
5. TIME OF PERFORMANCE. The Contractor shall complete its obligations by no later than September
15, 2015.
6. PAYMENT. The City will pay the Contractor within forty-five (45) days of receiving an invoice for
work performed.
7. PROMPT PAYMENT TO SUBCONTRACTORS. Pursuant to Minnesota Statute 471.25, Subdivision
4a, the Contractor must pay any subcontractor within ten (10) days of the Contractor's receipt of payment from
the City for undisputed services provided by the subcontractor. The Contractor must pay interest of one and one-
half percent (1'/z %) per month or any part of a month to subcontractor on any undisputed amount not paid on time
to the subcontractor. The minimum monthly interest penalty payment for an unpaid balance of $100.00 or more is
$10.00. For an unpaid balance of less than $100.00, the Contractor shall pay the actual penalty due to the
subcontractor. A subcontractor who prevails in a civil action to collect interest penalties from the Contractor shall
be awarded its costs and disbursements, including attorney's fees, incurred in bringing the action.
8. WORKER'S COMPENSATION. The Contractor shall obtain and maintain for the duration of this
Contract, statutory Worker's Compensation Insurance and Employer's Liability Insurance as required under the laws
of the State of Minnesota.

9. COMPREHENSIVE GENERAL LIABILITY. Contractor shall obtain the followingtminimum insurance
coverage and maintain it at all times throughout the life of the Contract, with the City included as an additional
name insured. The Contractor shall furnish the City a Certificate of Insurance satisfactory to the City evidencing
the required coverage:

10. DATA PRACTICES/RECORDS.
A. All data created, collected, received, maintained or disseminated for any purpose in the
course of this Contract is governed by the Minnesota Government Data Practices Act,
Minn. Stat. Ch. 13, any other applicable state statute, or any state rules adopted to
implement the act, as well as federal regulations on data privacy.
B. All books, records, documents and accounting procedures and practices of the Contractor
and its subcontractors, if any, relative to this Contract are subject to examination by the City.
11. INDEMNITY. The Contractor agrees to indemnify and hold the City harmless from any claim made
by third parties as a result of the services performed by it. In addition, the Contractor shall reimburse the City for
any cost of reasonable attorney's fees it may incur as a result of any such claims.
12. WAIVER. In the particular event that either party shall at any time or times waive any breach of
this Contract by the other, such waiver shall not constitute a waiver of any other or any succeeding breach of this
Contract by either party, whether of the same or any other covenant, condition or obligation.
13. GOVERNING LAW. The laws of the State of Minnesota govern the interpretation of this Contract.
14. SEVERABILITY. If any provision, term or condition of this Contract is found to be or become
unenforceable or invalid, it shall not effect the remaining provisions, terms and conditions of this Contract, unless
such invalid or unenforceable provision, term or condition renders this Contract impossible to perform. Such
remaining terms and conditions of the Contract shall continue in full force and effect and shall continue to operate
as the parties' entire contract.
15. ENTIRE AGREEMENT. This Contract represents the entire agreement of the parties and is a final,
complete and all inclusive statement of the terms thereof, and supersedes and terminates any prior agreement(s),
understandings or written or verbal representations made between the parties with respect thereto.

Interested Contractors:
The City of Lakeville is soliciting sealed bids for the installation of a new sound system for the performing
arts theater at the Lakeville Area Arts Center in Downtown Lakeville. Sealed bids will be received at the
Office of the City Clerk, Lakeville City Hall, 20195 Holyoke Avenue, Lakeville MN 55044 no later than July
13, 2015 at 4:00 PM at which time they will be publicly opened and read aloud. Your firm will be
required to provide Bid security in the form of a Bid Bond or certified check in the amount of a sum no
less than five (5) percent of the Base Bid Price. Bids may be hand delivered or mailed including the 5%
Bid Bond.
Attached are specifications and requirements to complete the project, along with a bid form for the
project to be installed at the Arts Center located at 20965 Holyoke Avenue.
Also attached is an Agreement that the lowest responsive, responsible, qualified Bidder would be
required to execute prior to starting the project.
It is anticipated that this item will be brought to the City Council for approval at the July 20th City Council
meeting.
A pre-bid walk thru will be held on Tuesday, July 71h at the Arts Center at 1:00 PM with staff to go over
the details of the project and to answer any questions you may have.

LAKEVILLE AREA ARTS CENTER — SOUND SYSTEM REPLACEMENT
Instructions to Bidders
Bids will be accepted until 4:00 PM on Monday, July 13th. Bids will be evaluated based upon the Total
Bid, and the project will be awarded on the basis of the lowest responsive, responsible, qualified Bidder for
the work. The owner reserves the right to reject any or all Bids including without limitation nonconforming,
nonresponsive, unbalanced or conditional Bids. Owner further reserves the right to reject the Bid of any
Bidder if Owner believes that it would not be in the best interest of the Project to make an award to that
Bidder. Owner reserves the right to waive all informalities not involving price, time or changes in the Work
and to negotiate Contract terms with the successful Bidder.
Accompanying this proposal must be:
1. The Bid Form, including an attachment with the specified manufacturers and model numbers for
each of the base bid components as well as an attachment with the specified manufacturers and
model numbers for each of the alternate bid components.
2. A contractor's bid bond, certified check or cash deposit in the amount of 5% of the base bid made
payable to the City of Lakeville, Minnesota, and the same is subject to forfeiture in the event of
default on the part of the undersigned to execute the prescribed contract after its submittal to
the City of Lakeville.
It is understood that your quote may not be withdrawn for a period of thirty (30) days after submission. It
is understood that the City reserves the right to retain the certified check or bid bond as determined by the
City for a period not to exceed thirty (30) days after receipt of the proposal.

PROJECT SCOPE
The City is requesting bids to replace the sound system at the Lakeville Area Arts Center located on Holyoke Avenue.
The City has provided the following specifications that are intended to guide the contractorto understand the City's
vision of this project.
Contractor shall remove the existing house and stage monitor speakers, amplifiers currently used forthose speakers,
racks, sequencer, cd player, and mixing board. The contractor shall remove the cables and wiring in the theater from
the existing house speakers and patch the associated holes. Additionally the contractor shall disable and remove the
power controls for the existing sequencer located on the front of the proscenium, and stage right, capping the
openings.
Contractor shall install all of the wiring, mounting brackets and equipment listed under the Sound System
Specifications. The Contractor shall incorporate the equipment that is being retained from the previous system into
the new system including 10 wireless mics, the lobby speaker and telex system.
The Contractor shall also tune the system for the space and will include a 1 year warranty on all equipment and
workmanship beginning at the time of final acceptance (payment) of the project by the City of Lakeville. The
contractor shall agree to repair all failures which occur due to poor workmanship or materials within the first year
following the final acceptance. Such repairs shall be made at no further expense to the City.
The contractor shall also provide a minimum of 4 hours staff training.
TIMELINE
The sound system project shall commence no sooner than August 17th and shall be completed by September 15tH
The City of Lakeville and selected contractor will finalize construction timeline and coordination with facility access
prior to commencement of project.
The following are the main components required in the new sound system. Acceptable manufacturers are listed
establishing a minimum level of performance and features. Other specified or approved manufactures may be used
provided it is suitable for the application and meets or exceeds the specified performances requirements.
BASE BID:
• Line -array speakers and subwoofer capable of providing concert quality sound to every seat in the theater,
including required mounting brackets and wiring. Location of speakers and quantity to be determined by
manufacturer specifications to maximize sound quality and to cover the theater and balcony.

Owner in the form attached, to perform all work as specified or indicated in the plans and specifications for
the prices indicated and within the times indicated in this packet.
The undersigned further asserts that they are legally authorized to provide this quotation on behalf of the
company listed.
Bidder accepts all of the terms and conditions of the Instructions to Bidders, including without limitation
those dealing with Evaluation of Bids and Award of Contract. The Bid will remain subject to acceptance for
