Agreement for Parks & Recreation Director Search Services Proposed Action Staff recommends adoption of the following motion: Move to authorize a professional services agreement with Springsted Inc. for search consulting services associated with the recruitment of a Parks & Recreation Director. Overview The City has regularly used Springsted, Inc. for executive search consulting. Staff proposes that we again authorize an agreement with Springsted, Inc. to assist with the recruitment of a Parks & Recreation Director. The fee for these services will be $8,000 for targeted outreach, applicant screening and evaluation, and presentation of the top candidates. Additional services, if necessary, may be negotiated. Primary Issues to Consider • What is the estimated date of employment? The agreement proposes an anticipated start date of February 1, 2016. Cindi Joosten, Human Resources Manager Financial Impact: $__8,000__________Budgeted: Y/N _Y___ Source: __________________ Related Documents (CIP, ERP, etc.): ________________________________________ Community Values ___Good Value for Public Services________________________________ _____________________________________________________________________________ Public Sector Advisors AGREEMENT FOR ORGANIZATIONAL MANAGEMENT AND HUMAN RESOURCES CONSULTING SERVICES THIS AGREEMENT is made as of the 8th day of October, 2015, by and between, City of Lakeville, Minnesota ("Client") and Springsted Incorporated ("Consultant"). WHEREAS, the Client wishes to retain the services of the Consultant on the terms and conditions set forth herein, and the Consultant wishes to provide such services; NOW, THEREFORE, the parties hereto agree as follows: 1. Services. Consultant shall provide executive search services to assist the Client with the recruitment and selection of a Parks and Recreation Director consistent with the scope of services contained in Consultant’s proposal/work plan dated October 8, 2015. The work plan is provided in Attachment A and hereby made a part of this Agreement. 2. Compensation. The Client shall compensate the Consultant for these services at a professional fee of $8,000.00 in the manner set forth in the attached proposal/work plan. 3. Term and Termination. This Agreement shall commence as of the date hereof, and shall continue until terminated by either party by written notice given at least 60 days before the effective date of such termination, provided that no such termination shall affect or terminate the rights and obligations of each of the parties hereto with respect to any project, whether or not complete, for which the Consultant has provided services prior to the date that it received such notice. 4. Minnesota Government Data Practices Act. Consultant must comply with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as it applies to (1) all data provided by the City pursuant to this Agreement, and (2) all data, created, collected, received, stored, used, maintained, or disseminated by Consultant pursuant to this Agreement. Consultant is subject to all the provisions of the Minnesota Government Data Practices Act, including but not limited to the civil remedies of Minnesota Statutes Section 13.08, as if they were a government entity. In the event Consultant receives a request to release data, Consultant must immediately notify City. City will give Consultant instructions concerning the release of the data to the requesting party before the data is released. The terms of this paragraph shall survive the cancellation or termination of this Agreement. 5. Miscellaneous. a. Delegation of Duties. The Consultant shall not delegate its duties hereunder to any third party without the express written consent of the Client. b. No Third Party Beneficiary. No third party shall have any rights or remedies under this Agreement. c. Entire Contract; Amendment. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior written or oral negotiations, understandings or agreements with respect hereto. This Agreement may be amended in whole or in part by mutual consent of the parties, and this Agreement shall not preclude the Client and the Consultant from entering into separate agreements for other projects. d. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota. e. Severability. To the extent any provision of this Agreement shall be determined invalid or unenforceable, the invalid or unenforceable portion shall be deleted from this Agreement, and the validity and enforceability of the remainder shall be unaffected. Position profile and job posting - City 2. Recruitment and targeted outreach - Personal calls and contacts. Collect resumes and serve as the host for submittal of applicant information. 3. Applicant screening and evaluation - Objective review of each application to determine those applicants who most closely meet the City's desired qualifications. Identify the top candidates and ask them to complete a screening questionnaire and personality assessment. Conduct telephone screening and contact references. 4. Presentation of candidates - Present the top candidates to the City for consideration. 5. Interviews - City 6. Background check and employment offer - City Professional Fee The professional fee for steps two, three and four is $8,000.00. There will be no search expenses. The City will post the job and conduct the background checks. There will be no travel expenses. If the City elects to use additional consulting services in this search they will either be negotiated with the City or factored on an hourly basis at a rate of $200.00 per hour.
