PREFERRED MAINTENACE AGREEMENT – HYDRO
SEMI ANNUAL WITH TEST - LIFT

WE PROPOSE to furnish ELEVATOR FULL MAINTENANCE// LIFT OG 2 TIMES YEARLY ANNUAL TEST on the
following described elevator(s):
1 (one); Thyssen Krupp (DMC-1); 2500LB; Passenger; Hydraulic; 4 Stop 2F/2R; MNID 007574
1 (one); National Wheelovator; 750LB; Accessibility Lift; Electric; 2 Stop 1F/1R; MNID 007177
YOUR ACCOUNT will be assigned to an account representative. This representative will be available to discuss any
questions and/ or concerns regarding your elevator maintenance. Additionally, specialist in the areas of repairs,
modernization, the elevator safety code, and the Americans with Disabilities Act will be available to you for
consultation.
UNDER THIS CONTRACT we will maintain the elevator equipment herein described on the following terms and
conditions:
WE WILL USE trained personnel directly employed and supervised by us. They will be qualified to keep your
equipment properly adjusted, and they will use all reasonable care to maintain the elevator equipment in
proper and safe operating condition.
WE WILL REGULARLY AND SYSTEMATICALLY (Minimum of 9 Times per Year) examine, adjust and
lubricate as required, all parts listed below. Additionally, if conditions warrant, unless specifically excluded
under the exception paragraph, REPAIR OR REPLACEMENT OF THE FOLLOWING PARTS is included:
MOTOR
Including motor windings, bearings, rotating elements, commutators, brushes and brush holders.
CONTROLLER
Including relays, resistors, contacts, coils, leads, transformers, timing devices and solid state components.
DISPATCHING EQUIPMENT: including relays, resistors, contacts, coils, leads, transformers, timing devices
and solid state components.
SELECTOR
Including electrical or mechanical drive components, cams, contacts, relays, resistors, leads and transformers.
CAR
Including power door operator, door protective devices, car door hangers, car door contacts, load weighing
equipment, car safety devices, car guide shoes including roller guides.
HOISTWAY
Including deflector sheave, secondary sheaves, buffers, governor tension assemblies, guide rails, limit
switches, compensating sheave assemblies, compensating chain or cables, traveling cables, hoistway and
machine room wiring, hoistway door interlocks, hoistway door hangers and gibs and auxiliary closer.

This quotation is valid for ninety (90) days from the date of this proposal.

ACCESSORY EQUIPMENT
Including all accessory elevator equipment installed prior to commencement of this contract, unless excluded
in the exception paragraphs.
IN THE CASE OF HYDRAULIC ELEVATORS, we will also regularly and systematically examine, lubricate as
required, and if conditions warrant, repair or replace: pump unit, motor, muffler and controller parts, valves,
valve magnet coils, valve motors, packing, windings, rotating elements, contacts, coils, resistance for
operating and motor circuits, magnet frames, hydraulic oil and all other electrical and mechanical parts not
excluded in the exception paragraph.
WE WILL FURNISH PROPER LUBRICANTS compounded to rigid specifications and selected to give the best
performance.
PERFORMANCE
1. We will where possible and in keeping with safe practices, maintain the original speed of the elevators in
FPM and the original performance time including acceleration and deceleration, door opening and closing
time within the limits of applicable codes.
2. We will where it applies, make periodic checks of the group dispatching and supervisory system and make
all necessary tests and adjustments to maintain design standards.
TESTS
1. SAFETY TESTS: We will routinely examine all safety devices and governors and perform our customary
annual no-load safety test on hydraulic and traction elevators at the end of each contract year. Unless
indicated in the Special Conditions section, the five-year test requirement per ANSI A17.1 is excluded.
WORK HOURS
1. THIS CONTRACT INCLUDES EMERGENCY ADJUSTMENT CALLBACK SERVICE during regular
working hours. If you should require examination or minor adjustment callback service (unless otherwise
specified) to be made on overtime, we will absorb the regular time portion of each overtime hour worked.
You will be charged only for the DIFFERENCE BETWEEN our regular hourly billing rate and our prevailing
after hours billing rate for each overtime hour worked.
2. Please note the following holidays that Minnesota Elevator Inc. recognizes and are not considered regular
working hours: New Years Day, Memorial Day, Independence Day, Labor Day, Veterans Day,
Thanksgiving Day, Friday after Thanksgiving Day and Christmas Day. Any holiday that falls on a Saturday
will be observed on the previous Friday, and any holiday falling on a Sunday will be observed on the
following Monday.
3. ALL WORK IS TO BE PERFORMED during the regular working hours of our regular working days unless
otherwise specified in the Special Conditions section of this agreement.
4. SERVICE AVAILABLITY: We will provide you with the phone number that corresponds to your service
center for 24-hour elevator service. In the event of an untimely elevator malfunction, we will have a
technician respond, at your request, to perform emergency minor adjustment callback service.
EXCEPTIONS
We shall not be required to make other tests nor to install new attachments on the elevators whether or not
recommended by insurance companies or governmental authorities, to make changes or modifications in
design or to make any replacements with parts of a different design (i.e. obsolete). It is agreed that we are not
required to make renewals or repairs necessitated by reason of negligence or misuse of the equipment or by
reason of any other cause beyond our control, including “elevator running on arrival” callbacks, electrical
power supply, Acts of God such as floods, lightening, wind storms, etc. The only exception to this statement
would be ordinary wear and tear of the elevator.

1. WE ASSUME NO RESPONSIBILITY for the following items of elevator equipment unless elsewhere
included in this contract: Car enclosure (including removable panels, door panels, car gates, plenum
chambers, hung ceilings, light diffusers, light ballasts, light tubes and bulbs, handrails, mirror and floor
coverings); hoistway enclosure, hoistway gates, doors, frames and sills; cylinders, plungers and buried
equipment; smoke or heat sensors; sump pumps, ventilation equipment, electrical feeders and main line
disconnects; fire alarm systems.
2. ADDITIONALLY, we assume no responsibility for problems arising from building compression, shifting
hoistway enclosures, or for damage resulting from the performance of any safety test.
OWNERS RESPONSIBILITY
1. It is the OWNERS responsibility to furnish a dedicated phone line for use with the emergency phone in the
elevator cab. This line must be used ONLY for the emergency phone in the elevator. It is the OWNERS
responsibility to maintain this line and make sure the line is in c ontinuous operation for emergency phone
use. The owner must notify MEI of any problems that occur with this line and immediately correct these
problems. MEI is not responsible to trouble shoot, or repair any phone line issues that occur. MEI will not
be responsible for phone repair or replacement of the emergency phone except on a full maintenance
contract where the language of the contract makes MEI responsible to furnish the parts as outlined in the
contract.
2. MEI will provide an answering service to monitor the emergency phone on a 24 hr. basis. MEI will
respond to calls as directed by this service. The OWNER will be responsible for any MEI billings generated
by the answering service dispatch, except in those cases where the callback is specifically cov ered by the
elevator service contract.
3. YOU AGREE TO PROVIDE US WITH ACCESS to all parts of your facility in which the elevator(s) and
associated equipment is located. Additionally, it is agreed that you will maintain the machine rooms(s) and
elevator pit area(s) to be free from water, debris and stored materials.
4. IN THE EVENT OF THE SALE, LEASE OR OTHER TRANSFER, of the elevators or dumbwaiters
described herein, or the premises in which they are located, Purchaser agrees to see that such successor
is made aware of this contract and assumes and agrees to be bound by the terms hereof for the balance
of the contract, and subject to termination as herein provided, or otherwise be liable for the full unpaid
balance due for the full unexpired term of the contract; provided, however, that in any such case
MINNESOTA ELEVATOR, INC. may in its sole discretion terminate the contract with any such successor
at any time upon (30) days advance notice in writing. Purchaser shall pay as an addition to the price,
stated, a sum equal to the amount of any taxes which may now or hereafter be exacted from Purchaser or
seller on account hereof.
IT IS AGREED, in consideration of our performance of the service enumerated herein at the price stated, that nothing
herein shall be construed to mean that we assume any liability on account of accidents or injury to persons or property,
except those directly due to our negligent acts or omissions or those of our employees; and that your own
responsibility for accidents or injuries to person or property while riding on or being in or about the subject elevators or
related equipment is in no way affected by this agreement.
MEI reserves the right to apply Fuel and Steel surcharges as applicable and necessary when rates of these goods
exceed the normal allowances calculated into each maintenance agreement.

PAYMENT
NONPAYMENT OF ANY SUM DUE UNDER THIS AGREEMENT shall be considered a material breach thereof. In
the event of a breach of this agreement or the failure to pay any sum due or to become due under this agreement
within sixty (60) days from the billing date, MINNESOTA ELEVATOR, INC. may, at its option, declare all sums due or
to become due under this agreement for the unexpire d term of the agreement due and payable in full as and for
agreed and liquidated damages, and not as a penalty, and until the same are paid, MINNESOTA ELEVATOR, INC.
shall be discharged and released from any obligations and/ or liability under the terms of this agreement.
CONTRACT PRICE:
One Hundred Fifty-One and No/100 ……………………………. ($151.00)
PAYMENT FREQUENCY: Monthly
You agree to pay as an addition to the price quoted, the amount of any tax based upon the transfer, use, ownership or
possession of the equipment to which this proposal related imposed upon us by any existing or future applicable laws
or ordinances.
The price for this service is subject to yearly reconsideration for adjustment, either upward or downward, on the basis
of prevailing costs with an annual cap increase at 3%. _____________ _____________

Payment of all invoices must be paid within 30 days of the invoice date.
THIS SERVICE AND AGREEMENT SHALL COMMENCE ON March 1, 2018 through February 28, 2021. It shall
continue thereafter until properly terminated according to the agreement. Either party may terminate this agreement at
the end of the first Three (3) year period or at the end of any subsequent one (1) year period by giving the other party
written notice ninety (90) days prior to the contract anniversary date.

Acceptance of Proposal - THIS AGREEMENT WHEN ACCEPTED BY YOU below and approved by our authorized
representative shall constitute the sole contract between us, and all prior representations, warranties or agreements
not incorporated herein are superseded and shall be of no force or effect. The terms and conditions of this agreement
exclusively govern the services to be provided. Any purchase order issued by you for this service is considered for
your administrative or billing purposes only. No changes or additions to this agreement shall be recognized unless
made in writing and signed by both parties.
