AUTHORIZE FUNDING AND AMEND 2018 BUDGETS LEE LAKE SUBDIVISION AMENDMENT TO DEVELOPMENT CONTRACT CONTRACT WITH DAKOTA COUNTY SOIL & WATER CONSERVATION DISTRICT Proposed Action Staff recommends adoption of the following motion: Move to award contract to Northwest Asphalt, Inc. for Kenyon Avenue Reconstruction, City Project 18-06; authorize funding and amend 2018 budgets; and approve Amendment to Lee Lake Subdivision Development Contract; and approve Cost Share Contract with Dakota County Soil and Water Conservation District. Overview On Wednesday, March 28, 2018, at 10:30 a.m., the City received six bids for City Project (CP) 18- 06 ranging from a low bid of $1,074,001.74 submitted by Northwest Asphalt to a high bid of $1,487,083.75. The engineer’s estimate of the construction cost was $1,285,685.95. CP 18-06 includes Lee Lake Subdivision public improvements. To minimize construction and schedule impacts, the City will install the improvements and the Developer will reimburse the City the costs. The Amendment to the Development Contract establishes City and Developer responsibilities and cost participation. CP 18-06 also includes a public storm water improvement project to achieve cost/construction efficiencies. Additional funding for this work is provided by the Dakota County Soil and Water Conservation District (DCSWCD). The Cost Share Contract establishes City and DCSWCD responsibilities and cost participation. The increased estimated project cost is due to existing conditions that require substantial wall construction and public utility relocation. In addition, three unrelated public improvement projects (a. Lee Lake Subdivision public street and utilities; b. storm water management basin reconstruction/expansion; c. mill and overlay/pavement management) are incorporated into the CP 18-06 contract to minimize construction and schedule impacts, and to achieve cost and construction efficiencies. NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of Lakeville, Minnesota: Hereby awards the contract to the lowest responsible bidder that meets all the bid requirements, Northwest Asphalt, Inc., with a bid in the amount of $1,074,001.74. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Lakeville, Minnesota: The estimated project cost is $1,236,994 and anticipated funding sources are listed below. City staff is hereby authorized to amend the 2018 budgets and make the appropriate transfers between funds with respect to the project funding sources up to 10% above the estimated costs. Funding transfers may include loans between funds to cover engineering and other costs incurred on the project in advance of receiving other funding. Owner and Contractor hereby agree as follows: ARTICLE 1 – WORK 1.01 Contractor shall complete all Work as specified or indicated in the Contract Documents. The Work is generally described as follows: Kenyon Avenue Improvements ARTICLE 2 – THE PROJECT 2.01 The Project, of which the Work under the Contract Documents is a part, is generally described as follows: Reconstruction of Kenyon Avenue. Project will widen the roadway from 22' rural section to a 44' urban section. Project includes grading, aggregate base, plant mixed bituminous pavement, concrete curb and gutter, concrete sidewalk, retaining wall, and storm sewer. ARTICLE 3 – ENGINEER 3.01 The part of the Project that pertains to the Work has been designed by Bolton & Menk, Inc. 3.02 The Owner will provide personnel to act as Owner’s representative, assume all duties and responsibilities, and have the rights and authority assigned to Engineer in the Contract Documents in connection with the completion of the Work in accordance with the Contract Documents. ARTICLE 4 – CONTRACT TIMES 4.01 Time of the Essence A. All time limits for Milestones, if any, Substantial Completion, and completion and readiness for final payment as stated in the Contract Documents are of the essence of the Contract. 4.02 Contract Times: Dates A. Contractor shall be allowed a 12-week period for construction from the commencement of roadway closure to substantial completion. The substantial completion date shall directly coincide with the last day of the 12-week period for construction. In no case shall the substantial completion date be after October 15, 2018. The work shall be ready for final payment in accordance with Paragraph 15.06 of the General Conditions on or before November 30, 2018. Contractor shall provide a working schedule within 15 days of notice of award. Substantial completion shall include, but not be limited to, the following: 1.Turf restoration 2.Placement of the final lift of bituminous pavement Final completion shall include, but not be limited to, the following: 1.Punchlist work 2.Final cleanup Northwest Asphalt, Inc. Contractor and Owner recognize that time is of the essence as stated in Paragraph 4.01 above and that Owner will suffer financial and other losses if the Work is not completed and Milestones not achiev ed within the times specified in Paragraph 4.02 above, plus any extensions thereof allowed in accordance with the Contract. The parties also recognize the delays, expense, and difficulties involved in proving in a legal or arbitration proceeding the actual loss suffered by Owner if the Work is not completed on time. Accordingly, instead of requiring any such proof, Owner and Contractor agree that as liquidated damages for delay (but not as a penalty): 1. Substantial Completion: Contractor shall pay Owner $1,500.00 for each day that expires after the time (as duly adjusted pursuant to the Contract) specified in Paragraph 4.02.A above for Substantial Completion until the Work is substantially complete. 2. Completion of Remaining Work: After Substantial Completion, if Contractor shall neglect, refuse, or fail to complete the remaining Work within the Contract Times (as duly adjusted pursuant to the Contract) for completion and readiness for final payment, Contractor shall pay Owner $1,500.00 for each day that expires after such time until the Work is completed and ready for final payment. 3. Liquidated damages for failing to timely attain Substantial Completion and final completion are not additive and will not be imposed concurrently. ARTICLE 5 – CONTRACT PRICE 5.01 Owner shall pay Contractor for completion of the Work in accordance with the Contract Documents the amounts that follow, subject to adjustment under the Contract: A. For all Unit Price Work, an amount equal to the sum of the extended prices (established for each separately identified item of Unit Price Work by multiplying the unit price times the actual quantity of that item) B. For all Work, at the prices stated in Contractor’s Bid, attached hereto as an exhibit . C. The extended prices for Unit Price Work set forth as of the Effective Date of the Contract are based on estimated quantities. As provided in Paragraph 13.03 of the General Conditions, estimated quantities are not guaranteed, and determinations of actual quantities and classifications ar e to be made by Engineer. ARTICLE 6 – PAYMENT PROCEDURES 6.01 Submittal and Processing of Payments A. Contractor shall submit Applications for Payment in accordance with Article 15 of the General Conditions. Applications for Payment will be processed by Engineer as provided in the General Conditions. 6.02 Progress Payments; Retainage A. Owner shall make monthly progress payments on account of the Contract Price on the basis of Contractor’s Applications for Payment during performance of the Work as provided in Paragraph 6.02.A.1 below, provided that such Applications for Payment have been submitted in a timely manner and otherwise meet the requirements of the Contract. All such payments will be measured by the Schedule of Values established as provided in the General Conditions (and in the case of Unit Price Work based on the number of units completed) or, in the event there is no Schedule of Values, as provided elsewhere in the Contract. 1. Prior to Substantial Completion, progress payments will be made in an amount equal to the percentage indicated below but, in each case, less the aggregate of payments previously made City of Lakeville - T18.114865 AGREEMENT March 2018 PAGE 00520-3 © Bolton & Menk, Inc. 2018, All Rights Reserved and less such amounts as Owner may withhold, including but not limited to liquidated damages, in accordance with the Contract a. 95 percent of Work completed (with the balance being retainage); and b. 95 percent of cost of materials and equipment not incorporated in the Work (with the balance being retainage). 6.03 Progress Payment to Subcontractors A. For contracts within the State of Minnesota, MN Statute 471.425 Subd. 4a. shall apply. MN Statute 471.425 Subd. 4a. requires: 1. The prime contractor shall pay any subcontractor within ten days of the prime contractor's receipt of payment for undisputed services provid ed by the subcontractor. 2. The prime contractor shall pay interest of 1-1/2 percent per month or any part of a month to the subcontractor on any undisputed amount not paid on time to the subcontractor. 3. The minimum monthly interest penalty payment for an unpaid balance of $100 or more is $10. For an unpaid balance of less than $100, the prime contractor shall pay the actual penalty due to the subcontractor. 4. A subcontractor who prevails in a civil action to collect interest penalties from a prime co ntractor must be awarded its costs and disbursements, including attorney's fees, incurred in bringing the action.” 6.04 Final Payment A. Upon final completion and acceptance of the Work in accordance with Paragraph 15.06 of the General Conditions, Owner shall pay the remainder of the completed Contract as recommended by Engineer as provided in said Paragraph 15.06. ARTICLE 7 – INTEREST 7.01 All amounts not paid when due shall bear interest at the rate of 1.5 percent per annum. ARTICLE 8 – CONTRACTOR’S REPRESENTATIONS 8.01 In order to induce Owner to enter into this Contract, Contractor makes the following representations: A. Contractor has examined and carefully studied the Contract Documents, and any data and reference items identified in the Contract Documents. B. Contractor has visited the Site, conducted a thorough, alert visual examination of the Site and adjacent areas, and become familiar with and is satisfied as to the general, local, and Site conditions that may affect cost, progress, and performance of the Work. C. Contractor is familiar with and is satisfied as to all Laws and Regulations that may affect cost, progress, and performance of the Work. D. Contractor has carefully studied all: (1) reports of explorations and tests of subsurface condition s at or adjacent to the Site and all drawings of physical conditions relating to existing surface or subsurface structures at the Site that have been identified in the Supplementary Conditions, if any, especially with respect to Technical Data in such reports and drawings, and (2) reports and drawings relating to Hazardous Environmental Conditions, if any, at or adjacent to the Site that have been identified in the Supplementary Conditions, especially with respect to Technical Data in such reports and drawi ngs. E. Contractor has considered the information known to Contractor itself; information commonly known to contractors doing business in the locality of the Site; information and observations obtained from visits to City of Lakeville - T18.114865 AGREEMENT March 2018 PAGE 00520-4 © Bolton & Menk, Inc. 2018, All Rights Reserved the Site; the Contract Documents; and the Site-related reports and drawings identified in the Contract Documents, if any, with respect to the effect of such information, observations, and documents on (1) the cost, progress, and performance of the Work; (2) the means, methods, techniques, sequences, and procedures of construction to be employed by Contractor; and (3) Contractor’s safety precautions and programs. F. Based on the information and observations referred to in the preceding paragraph, Contractor agrees that no further examinations, investigations, explorations, tests, studies, or data are necessary for the performance of the Work at the Contract Price, within the Contract Times, and in accordance with the other terms and conditions of the Contract. G. Contractor is aware of the general nature of work to be performed by Owner and others at the Site that relates to the Work as indicated in the Contract Documents. H. Contractor has given Engineer written notice of all conflicts, errors, ambiguities, or discrepancies that Contractor has discovered in the Contract Documents, and the written resolution thereof by Engineer is acceptable to Contractor. I. The Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions for performance and furnishing of the Work. J. Contractor’s entry into this Contract constitutes an incontrovertible representation by Contractor that without exception all prices in the Agreement are premised upon performing and furnishing the Work required by the Contract Documents. ARTICLE 9 – CONTRACT DOCUMENTS 9.01 Contents A. The Contract Documents consist of the following: 1.This Agreement (pages 1 to 6, inclusive). 2.Performance bond (pages 1 to 3, inclusive). 3.Payment bond (pages 1 to 3, inclusive). 4.General Conditions (pages 1 to 65, inclusive). 5.Supplementary Conditions (pages 1 to 14, inclusive). 6.Specifications as listed in the table of contents of the Project Manual. 7.Drawings (not attached but incorporated by reference) consisting of 67 sheets with each sheet bearing the following general title: Kenyon Avenue. 8.Addenda (numbers 1 to 1, inclusive). 9.Exhibits to this Agreement (enumerated as follows): a.Contractor’s Bid (pages 1 to 11, inclusive). b.Executed Section 00415 – Responsible Contractor – Proposal Attachment c.Executed Section 00515 - Responsible Contractor – Award Attachment 10.The following which may be delivered or issued on or after the Effective Date of the Contract and are not attached hereto: a.Notice to Proceed. b.Work Change Directives. c.Change Orders. ARTICLE 10 – MISCELLANEOUS 10.01 Terms A. Terms used in this Agreement will have the meanings stated in the General Conditions and the Supplementary Conditions. 10.02 Assignment of Contract A. Unless expressly agreed to elsewhere in the Contract, no assignment by a party hereto of any rights under or interests in the Contract will be binding on another party hereto without the written consent of the party sought to be bound; and, specifically but without limitation, money that may become due and money that is due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under the Contract Documents. 10.03 Successors and Assigns A. Owner and Contractor each binds itself, its successors, assigns, and legal representatives to the other party hereto, its successors, assigns, and legal representatives in respect to all covenants, agreements, and obligations contained in the Contract Documents. 10.04 Severability A. Any provision or part of the Contract Documents held to be void or unenforceable under any Law or Regulation shall be deemed stricken, and all remaining provisions shall continue to be valid and binding upon Owner and Contractor, who agree that the Contract Documents shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision. 10.05 Contractor’s Certifications A. Contractor certifies that it has not engaged in corrupt, fraudulent, collusive, or coercive practices in competing for or in executing the Contract. For the purposes of this Paragraph 10.05: 1.“corrupt practice” means the offering, giving, receiving, or soliciting of anything of value likely to influence the action of a public official in the bidding process or in the Contract execution; 2.“fraudulent practice” means an intentional misrepresentation of facts made (a) to influenc e the bidding process or the execution of the Contract to the detriment of Owner, (b) to establish Bid or Contract prices at artificial non-competitive levels, or (c) to deprive Owner of the benefits of free and open competition; 3.“collusive practice” means a scheme or arrangement between two or more Bidders, with or without the knowledge of Owner, a purpose of which is to establish Bid prices at artificial, non- competitive levels; and City of Lakeville - T18.114865 AGREEMENT March 2018 PAGE 00520-6 © Bolton & Menk, Inc. 2018, All Rights Reserved 4.“coercive practice” means harming or threatening to harm, directly or indirectly, persons or their property to influence their participation in the bidding process or affect the execution of the Contract. 10.06 Other Provisions A. Owner stipulates that if the General Conditions that are made a part of this Contract are based on EJCDC® C-700, Standard General Conditions for the Construction Contract, published by the Engineers Joint Contract Documents Committee®, and if Owner is the party that has furnished said General Conditions, then Owner has plainly shown all modifications to the standard wording of such published document to the Contractor, through a process such as highlighting or “track changes” (redline/strikeout), or in the Supplementary Conditions. IN WITNESS WHEREOF, Owner and Contractor have signed this Agreement. This Agreement will be effective on April 16, 2018 (which is the Effective Date of the Contract). Anderson Mayor Charlene Friedges City Clerk 1 196874V4 (reserved for recording information) AMENDMENT TO DEVELOPMENT CONTRACT LEE LAKE SUBDIVISION THIS AMENDMENT TO DEVELOPMENT CONTRACT (“Amendment”) is made by and between the CITY OF LAKEVILLE, a Minnesota municipal corporation (“City”) and GUARDIAN DEVELOPMENT OF WYOMING, LLC, a Wyoming limited liability company ("Developer"). RECITALS WHEREAS, the parties entered into a Development Contract for the plat of Lee Lake Subdivision dated July 17, 2017, and filed for record with the Dakota County Recorder on October 3, 2017, as Document No. 3215865, as amended by the Amendment to Development Contract dated September 18, 2017, and filed for record with the Dakota County Recorder on October 3, 2017, as Document No. 3215868 (collectively, the “Development Contract”); WHEREAS, in conjunction with the Development Agreement, Developer submitted to the City and the City approved an amended Utility Plan and an amended Final Grading, Drainage, and Erosion Control Plan, including sewer and water service revisions on the east side of the site 2 196874V4 and removing the Developer’s obligations of constructing the turn lane and driveway entrance along the north side. WHEREAS, pursuant to the Development Contract, Developer is responsible for the construction of public improvements within the plat at the Developer’s expense; WHEREAS, on September 27, 2017, Developer sold Outlot A, Lee Lake Subdivision, according to the recorded plat thereof, Dakota County, Minnesota, to the City. WHEREAS, on October 16, 2017, Developer sold Lot 2, Block 1, Lee Lake Subdivision, according to the recorded plat thereof, Dakota County, Minnesota, to Guardian Lakeville, LLC. WHEREAS, on October 16, 2017, Guardian Lakeville, LLC sold Lot 2, Block 1, Lee Lake Subdivision, according to the recorded plat thereof, Dakota County, Minnesota, to Lakeside Flats, LLC. WHEREAS, the City has begun a street reconstruction project on Kenyon Avenue which includes a number of utility and transportation improvements that are within the plat; and WHEREAS, in order to minimize construction and schedule conflicts between the parties, the parties have agreed that the City shall construct certain public improvements, and the Developer shall reimburse the City for the cost of said public improvement installation; NOW, THEREFORE, the parties hereby agree as follows: 1. AMENDMENT TO SECTION 7. Section 7 of the Development Contract is amended to read as follows: 7. DEVELOPMENT PLANS. The plat shall be developed in accordance with the following plans. The plans shall not be attached to this Contract. With the exception of Plans A, B, C, and F the plans may be prepared, subject to the City Engineer’s approval, after entering the Contract, but before commencement of any work in the plat. The City Engineer may approve minor amendments to Plan B without City Council approval. The erosion control plan may also be approved by the Dakota County Soil and Water 3 196874V4 Conservation District. If the plans vary from the written terms of this Contract, the written terms shall control. The plans are: Plan A - Plat Plan B - Final Grading, Drainage, and Erosion Control Plan, as amended, dated April 10, 2018 Plan C - Tree Preservation Plan Plan D - Plans and Specifications for Public Improvements, as amended, dated April 10, 2018 Plan E - Street Lighting Plan Plan F - Landscape Plan 2. AMENDMENT TO SECTION 8. Section 8 of the Development Contract is amended to read as follows: 8. IMPROVEMENTS. A. The Developer shall install and pay for the following improvements, except those listed in Subsection B of this Section: i. Sanitary Sewer System ii. Water System iii. Storm Sewer System iv. Streets v. Concrete Curb and Gutter vi. Street Lights vii. Site Grading, Stormwater Treatment/Infiltration Basins, and Erosion Control viii. Underground Utilities ix. Setting of Iron Monuments x. Surveying and Staking xi. Sidewalks and Trails xii. Retaining Walls The improvements shall be installed in accordance with the City subdivision ordinance; City standard specifications for utility and street construction; and any other ordinances including Section 11-16-7 of the City Code concerning 4 196874V4 erosion and drainage and Section 4-1-4-2 prohibiting grading, construction activity, and the use of power equipment between the hours of 10 o’clock p.m. and 7 o’clock a.m. The Developer shall submit plans and specifications which have been prepared by a competent registered professional engineer to the City for approval by the City Engineer. The Developer shall instruct its engineer to provide adequate field inspection personnel to assure an acceptable level of quality control to the extent that the Developer’s engineer will be able to certify that the construction work meets the approved City standards as a condition of City acceptance. In addition, the City may, at the City’s discretion and at the Developer’s expense, have one or more City inspectors and a soil engineer inspect the work on a full or part-time basis. The Developer, its contractors and subcontractors, shall follow all instructions received from the City’s inspectors. The Developer’s engineer shall provide for on-site project management. The Developer’s engineer is responsible for design changes and contract administration between the Developer and the Developer’s contractor. The Developer or its engineer shall schedule a pre-construction meeting at a mutually agreeable time at the City with all parties concerned, including the City staff, to review the program for the construction work. Within thirty (30) days after the completion of the improvements and before the security is released, the Developer shall supply the City with a complete set of reproducible “as constructed” plans and an electronic file of the “as constructed” plans in an AutoCAD .DWG file or a .DXF file, all prepared in accordance with City standards. In accordance with Minnesota Statutes 505.021, the final placement of iron monuments for all lot corners must be completed before the applicable security is released. The Developer’s surveyor shall also submit a written notice to the City certifying that the monuments have been installed following site grading, utility and street construction. B. The City shall complete the following improvements (“City-Installed Public Improvements”), as delineated in the approved Plans and Specifications for City Project 18-06: Kenyon Avenue Improvements, by October 15, 2018: i. Removal of existing water and sewer services and water valve on east side of Lee Lake Subdivision. v. Installation of new 8” water service on east side of Lee Lake Subdivision, including connection to existing watermain, new 8” gate valve and valve box, 8” PVC watermain, and all required watermain fittings. vi. Installation of new 8” sanitary sewer service and associated work to correct design errors in Lee Lake Subdivision plans, including furnishing and installing new sanitary sewer pipe, furnishing and installing new structure(s), connecting to existing sanitary sewer structures and/or pipe, all associated excavation and backfill operations, any testing required to meet City, State, Federal, and any others regulations, and any unforeseen work directly related to or resulting from these sanitary sewer revisions. C. Developer shall reimburse the City for the total cost of the City-Installed Public Improvements and City incurred costs for design, administration, and plan changes resulting from or related to the utility service changes summarized in Subsections B.-v. and B.-vi. of this Section. The City will submit invoices to the Developer for actual construction, design, and administration costs on a monthly basis. The Developer will pay the City within thirty (30) days of the issuance date of the invoice. D. To guarantee compliance with the terms of this Amendment and payment of the costs of all City-Installed Public Improvements, the Developer shall furnish the City with a cash escrow or letter of credit in the form attached hereto, from 6 196874V4 a bank ("security") for $51,447.35. The amount of the security was calculated as shown in Exhibit B. TOTAL SECURITIES: $51,447.35 This breakdown is for historical reference; it is not a restriction on the use of the security. The bank shall be subject to the approval of the City Administrator. The City may draw down the public improvement security on five (5) business days written notice to the Developer for any nonpayment of invoice issued pursuant to Subsection C of this Section or without notice if the public improvement security is allowed to lapse prior to the end of the required term. If the public improvement security is drawn down, the proceeds shall be used to satisfy any unpaid invoice for which payment is due pursuant to Subsection C of this Section. Upon satisfaction of all of Developer’s financial obligations under Subsection C of this Section, the public improvement security may be released. 3. ADDITION OF EXHIBIT B.
