RELEASE OF CONTRACT FOR PRIVATE REDEVELOPMENT
FORMER CENTURY REFINING INC. PROPERTY
PROPOSED ACTION
Staff recommends adoption of the following motion: Move to approve a Release
Contract for Private Development for property located at 21360 Hanover Avenue.
OVERVIEW
The former Century Refining Inc. property located at 21360 Hanover Avenue in Airlake
Industrial Park has recently been sold. The City entered into a Contract for Private
Redevelopment in 1994 with the owners of Century Refining Inc. that provided tax
increment financing assistance for the original construction of a 25,880 square foot
building on the property.
Century Refining Inc. and the City of Lakeville met their respective obligations under this
Redevelopment Contract more than ten years ago. The new owner is requesting that the
property be released from this Contract for Private Redevelopment. The City Attorney has
drafted the attached Release of Contract for Private Redevelopment which has been
reviewed and approved by the attorney for the new owner. Staff recommends approval of
this release.
PRIMARY ISSUES TO CONSIDER
How will the release of contract affect the property? The release of the contract for private
redevelopment will free the property title from the obligations imposed in the original contract
approved by the City Council in 1994.

RELEASE OF CONTRACT FOR
PRIVATE REDEVELOPMENT
RELEASE of Contract for Private Redevelopment granted this ______ day of
_____________, 2020, by the CITY OF LAKEVILLE, a Minnesota municipal corporation ("City").
WHEREAS, the City and the Redeveloper, Century Refining, Inc., a Minnesota corporation,
have entered into a Contract for Private Redevelopment dated September 19, 1994, recorded in the
Office of the Dakota County Recorder on September 23, 1994, as Document No. 1242538 (the
“Redevelopment Contract”); and
WHEREAS, the Redeveloper has asked the City to release and discharge the property
legally described in Exhibit “A” attached hereto and made a part hereof (“Subject Property”) from the
Redevelopment Contract; and
WHEREAS, the Redeveloper has satisfied all of its obligations under the Redevelopment
Contract and any liability created thereby is hereby released; and
WHEREAS, there is no present need to have the Redevelopment Contract recorded against
the Subject Property.
NOW, THEREFORE, BE IT RESOLVED by the City of Lakeville, Minnesota:
The Subject Property is released and discharged from the Redevelopment Contract.
