HomeMy WebLinkAboutItem 06.o Date: Item No. KNECHT’S NURSERIES & LANDSCAPING CONTRACT EXTENSION Proposed Action Staff recommends adoption of the following motion: Move to approve amendment to contract with Knecht’s Nurseries & Landscaping for tree and shrub planting services. Overview On October 7, 2019, the City Council approved a contract with Knecht’s Nurseries and Landscaping for fall tree and shrub planting on city ponds, right-of-way and easements. The contractor was unable to do the work last fall due to early frost and snow. The City Attorney prepared the attached contract amendment extending the terms of the contract with Knecht’s Nurseries and Landscaping until June 6, 2020. The total amount of the contract is $12,456.00. This amount is less than the original contract because of a revision in the plantings for the Dodd and Flagstaff berm based on the quoted price and the budget for the project. Plant material has a one-year warranty from the date of planting. The contractor’s obligations under the contract shall continue until the warranty obligations have been met. Primary Issues to Consider Why is a separate contract for tree and shrub planting services being executed with these projects? Planting in the fall (and spring) is less stressful on the tree and shrub material since they are seasons of root growth and cooler temperatures. It was more efficient and cost effective to bundle the projects after all final grading work was completed on the infrastructure projects. Supporting Information • Amendment to contract for services Financial Impact: $ Budgeted: Y☐ N☐ Source: Related Documents: (CIP, ERP, etc.): Envision Lakeville Community Values: Good Value for Public Services Report Completed by: Emily Ball, City Forester April 6, 2020 12,456.0 Multiple sources AMENDMENT TO CONTRACT FOR SERVICES THIS AMENDMENT (“Amendment”) is made and entered into this 6th day of April, 2020 (“Effective Date”), by and between the CITY OF LAKEVILLE, a Minnesota municipal corporation (“City”) and KNECHT’S NURSERIES & LANDSCAPING, INC., a Minnesota corporation (“Contractor”). RECITALS A. The parties entered into a Contract for Services dated October 7, 2019 (“Contract”) for tree and shrub planting on City properties; B. The parties desire to reduce plantings in a specific area and extend the term of the Contract. NOW, THEREFORE, the parties agree as follows: 1. Amendment to Paragraph 1 of the Agreement. Paragraph 1 of the Agreement is hereby amended to read as follows: 1. SCOPE OF SERVICES. The scope of services is detailed in the Contract Documents but generally consists of tree and shrub planning services during the spring of 2020 within the City’s Fall 2019 Planting locations. The Contractor agrees to perform the services as detailed in the Contract Documents 2. Amendment to Paragraph 2 of the Agreement. Paragraph 2 of the Agreement is hereby amended to read as follows: 2. CONTRACT DOCUMENTS. The following documents shall be referred to as the “Contract Documents,” all of which shall be taken together as a whole as the contract between the parties as if they were set verbatim and in full herein: A. The Contract as amended by the Amendment; B. Instruction to Contractors – Request for Proposals, modified to reflect the changes to the plantings for the Dodd & Flagstaff location as attached hereto as Exhibit A; C. The City’s General and Technical Specifications; D. Contractor’s Proposal, as amended on September 26, 2019, amending the plantings for Dodd & Flagstaff Berm and providing a total contract price of $12,456.00. If there is a conflict among the provisions of the Contract, the order in which they are listed above shall control in resolving any such conflicts with Contract Document “A” having the first priority and Contract Document “D” having the last priority. 3. Amendment to Paragraph 9 of the Agreement. The term of this Contract shall be from the effective date of the executed Contract to the completion of all work contemplated by the Contract or June 6, 2020, unless sooner terminated as hereinafter provided. All of the plant material has a one-year warranty from the date of planting and the Contractor’s obligations under the Contract shall continue until the warranty obligations have been met under the terms of the Contract. 4. Effect of Agreement. Except as specifically amended by this Amendment, the Contract shall remain in full force and effect.
