HomeMy WebLinkAboutItem 06.h Date: Item No. PROFEESIONAL SERVICES AGREEEMENT AND QUOTES FOR REPLACEMENT OF PROGRAMABLE LOGIC CONTROLLERS AT THE WATER TREATMENT PLANT AND WELLS Proposed Action Staff recommends adoption of the following motion: Move to approve professional services agreement and quotes for replacement of programable logic controllers at the water treatment plant and wells. Overview Most of the programmable logic controllers (PLCs) at the Water Treatment Plant (WTP) are original to the plant operating on a platform that is 20+ years old and nearing obsolescence. A PLC is an industrial solid-state computer that monitors inputs and outputs and makes logic- based decisions for automated processes. It’s recommended to proactively replace these PLCs to reduce risk of failure and to maintain supportability of the water treatment processes. In performing the WTP PLC upgrades, the obsolete radios will no longer be compatible with the latest communications technologies of the PLCs. The radio system is a mix of obsolete radios and backwards compatible radios, both of which do not offer the latest communication technologies that modern PLCs include. In order to operate on modern radios, the obsolete PLCs at many of the remote sites (wells, towers, lift stations) will also need to be upgraded. Staff has worked with our consultant AE2S on SCADA upgrades and they are recommended to complete the PLC replacements. AE2S scope of work includes programming and installing the equipment. Werner Electric quotes is to provide the PLC hardware equipment. The City has standardized the PCLs with Allen-Bradley equipment. Werner Electric is the only supplier for Allen-Bradley equipment in this region. The TCIC quote is to provide the telemetry equipment for the remote sites in the amount of $28,690. The second quote the City received for the telemetry equipment was from 4RF in the amount of $40,314.00. It is recommended to replace the PLC equipment at this time. Most of the PLC equipment is 20 years old and nearly obsolete. It is recommended to proactively replace the PLC equipment to reduce risk of failure and to maintain supportability of the water treatment processes. IN CONSIDERATION OF THEIR MUTUAL COVENANTS THE PARTIES AGREE AS FOLLOWS: 1. SCOPE OF SERVICES. The City retains Consultant to furnish the services set forth in the Contract Documents by providing professional Engineering services for the following: (a) Well Programmable Logic Controller (PLC) Replacement Services and (b) Water Treatment Plant (WTP) Programmable Logic Controller (PLC) Replacement Services. The Consultant agrees to perform the services diligently and completely and in accordance with professional standards of conduct and performance. 2. CONTRACT DOCUMENTS. The following documents shall be referred to as the "Contract Documents," all of which shall be taken together as a whole as the contract between the parties as if they were set verbatim and in full herein: A. This Professional Services Agreement. B. City of Lakeville Requested a Proposal for professional services on October 16, 2020. C. Consultant’s Proposals: 1. Well Programmable Logic Controller (PLC) Replacement Services Proposal dated November 9, 2020 (“Proposal A”); and 2. Water Treatment Plant (WTP) Programmable Logic Controller (PLC) Replacement Services dated November 9, 2020 (“Proposal B”). In the event of conflict among the provisions of the Contract Documents, the order in which they are listed above shall control in resolving any such conflicts with the document listed A having the first priority and documents listed in C having the last priority. 3. DEADLINE. Consultant agrees to complete the services under this Agreement by September 1, 2021 for Proposal A and by July 1, 2021 for Proposal B. 4. COMPENSATION. Consultant shall be paid by the City for the services described in Contract Documents on an estimated hourly basis, not to exceed a total of Ninety-four Thousand Seven Hundred and no/100ths ($94,700.00) Dollars for Proposal A and One Hundred Fifty-five Thousand Three Hundred and no/100ths ($155,300.00) for Proposal B, inclusive of reimbursables, expenses, taxes and other charges. The not to exceed fee shall not be adjusted if the estimated hours to perform a task, the number 212630v1 2 of estimated required meetings or any other estimate or assumption is exceeded. Consultant shall request payment for services rendered on a monthly basis. The monthly payment applications from Consultant shall identify work completed. The City shall make payment to Consultant upon receipt of an invoice. Billings shall be issued at thirty (30) day intervals. 5. CHANGE ORDERS. All change orders, regardless of amount, must be approved in advance and in writing by the City. No payment will be due or made for work done in advance of such approval. 6. DOCUMENTS. All reports, plans, models, software, diagrams, analyses, and information generated in connection with performance of this Agreement shall be the property of the City. The City may use the information for its purposes. The City shall be the copyright owner. The vesting of the City’s ownership of the copyright in materials created by the Consultant shall be contingent upon the City’s fulfillment of its payment obligations hereunder. The Consultant shall be allowed to use a description of the services provided hereunder, including the name of the City, and photographs or renderings of any projects which develop from the planning or other services provided by the Consultant, in the normal course of its marketing activities. 7. STANDARD OF CARE. Consultant shall exercise the same degree of care, skill, and diligence in the performance of the services as is ordinarily possessed and exercised by a professional Consultant under similar circumstances. No other warranty, expressed or implied, is included in this Agreement. Consultant shall be responsible for the accuracy of the work and shall promptly make necessary revisions or corrections resulting from errors and omissions on the part of Consultant without additional compensation. 8. COMPLIANCE WITH LAWS AND REGULATIONS. In providing services hereunder, Consultant shall abide by all statutes, ordinances, rules and regulations pertaining to the provisions of services to be provided. 9. INDEMNIFICATION. The Consultant shall indemnify and hold harmless the City, its officers, agents, and employees, of and from any and all claims, demands, actions, causes of action, including costs and attorney's fees, arising out of or by reason of the execution or performance of the work or services provided for herein to the comparative extent they are caused by Consultant’s negligent acts or omissions or those negligent acts or omissions of persons for whom Consultant is legally responsible. 10. COPYRIGHT. Consultant shall defend actions or claims charging infringement of any copyright or patent by reason of the use or adoption of any designs, drawings or specifications supplied by them, and they shall hold harmless the City from loss or damage resulting therefrom. 11. INSURANCE. Consultant shall secure and maintain such insurance as will protect Consultant from claims under the Worker's Compensation Acts, automobile liability, and from claims for bodily injury, death, or property damage which may arise from the performance of services under this Agreement. Such insurance shall be written for amounts not less than: 212630v1 3 Commercial General Liability $1,000,000 each occurrence/aggregate Automobile Liability $1,000,000 combined single limit Excess/Umbrella Liability $1,000,000 each occurrence/aggregate* The required minimum of umbrella coverage shall be $2,000,000, or the policy limits, whichever is greater. The City shall be named as an additional insured on the general liability and umbrella policies on a primary and noncontributory basis. The Consultant shall secure and maintain a professional liability insurance policy. Said policy shall insure payment of damages for legal liability arising out of the performance of professional services for the City, in the insured's capacity as Consultant, if such legal liability is caused by a negligent act, error or omission of the insured or any person or organization for which the insured is legally liable. The policy shall provide minimum limits of One Million Dollars ($1,000,000.00) per occurrence and Three Million Dollars ($3,000,000) aggregate with a deductible maximum of One Hundred Thousand Dollars ($100,000.00). Before commencing work, the Consultant shall provide the City a certificate of insurance evidencing the required insurance coverage in a form acceptable to City. 12. INDEPENDENT CONTRACTOR. The City hereby retains the Consultant as an independent contractor upon the terms and conditions set forth in this Agreement. The Consultant is not an employee of the City and is free to contract with other entities as provided herein. Consultant shall be responsible for selecting the means and methods of performing the work. Consultant shall furnish any and all supplies, equipment, and incidentals necessary for Consultant’s performance under this Agreement. City and Consultant agree that Consultant shall not at any time or in any manner represent that Consultant or any of Consultant’s agents or employees are in any manner agents or employees of the City. Consultant shall be exclusively responsible under this Agreement for Consultant’s own FICA payments, workers compensation payments, unemployment compensation payments, withholding amounts, and/or self-employment taxes if any such payments, amounts, or taxes are required to be paid by law or regulation. 13. SUBCONTRACTORS. Consultant shall not enter into subcontracts for services provided under this Agreement without the express written consent of the City. Consultant shall comply with Minnesota Statute § 471.425. Consultant must pay subcontractor for all undisputed services provided by Subcontractor within ten days of Consultant’s receipt of payment from City. Consultant must pay interest of 1.5 percent per month or any part of a month to subcontractor on any undisputed amount not paid on time to subcontractor. The minimum monthly interest penalty payment for an unpaid balance of $100 or more is $10. 14. ASSIGNMENT. Neither party shall assign this Agreement, or any interest arising herein, without the written consent of the other party. 15. WAIVER. Any waiver by either party of a breach of any provisions of this Agreement shall not affect, in any respect, the validity of the remainder of this Agreement. 16. ENTIRE AGREEMENT. The entire agreement of the parties is contained herein. This Agreement supersedes all oral agreements and negotiations between the parties relating to the subject matter hereof as well as any previous agreements presently in effect between the parties relating to the subject matter 212630v1 4 hereof. Any alterations, amendments, deletions, or waivers of the provisions of this Agreement shall be valid only when expressed in writing and duly signed by the parties, unless otherwise provided herein. 17. CONTROLLING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota. 18. PATENTED DEVICES, MATERIALS AND PROCESSES. If the Contract requires, or Consultant desires, the use of any design, devise, material or process covered by letters, patent or copyright, trademark or trade name, Consultant shall provide for such use by suitable legal agreement with the patentee or owner and a copy of said agreement shall be filed with the City. If no such agreement is made or filed as noted, the Consultant shall indemnify and hold harmless the City from any and all claims for infringement by reason of the use of any such patented designed, device, material or process, or any trademark or trade name or copyright in connection with the services agreed to be performed under the Contract, and shall indemnify and defend the City for any costs, liability, expenses and attorney's fees that result from any such infringement. 19. RECORDS. The Consultant shall maintain complete and accurate records of time and expense involved in the performance of services. 20. AUDIT DISCLOSURE AND DATA PRACTICES. Any reports, information, data, etc. given to, or prepared or assembled by the Consultant under this Agreement which the City requests to be kept confidential, shall not be made available to any individual or organization without the City’s prior written approval. The books, records, documents and accounting procedures and practices of the Consultant or other parties relevant to this Agreement are subject to examination by the City and either the Legislative Auditor or the State Auditor for a period of six (6) years after the effective date of this Agreement. This Agreement is subject to the Minnesota Government Data Practice Act, Minnesota Statutes Chapter 13 (Data Practices Act). All government data, as defined in the Data Practices Act Section 13.02, Subd. 7, which is created, collected, received, stored, used, maintained, or disseminated by Consultant in performing any of the functions of the City during performance of this Agreement is subject to the requirements of the Data Practice Act and Consultant shall comply with those requirements as if it were a government entity. All subcontracts entered into by Consultant in relation to this Agreement shall contain similar Data Practices Act compliance language. 21. NON-DISCRIMINATION. The Consultant agrees during the life of this Agreement not to discriminate against any employee, application for employment, or other individual because of race, color, sex, age, creed, national origin, sexual preference, or any other basis prohibited by federal, state, or local law. The Consultant will include a similar provision in all subcontracts entered into for performance of this Agreement. 22. TERMINATION. This Agreement may be terminated by either party for any reason by giving the other party thirty (30) days advance written notice and mailed or delivered to the address listed in the first paragraph of this Agreement. In the event of termination, the City shall be obligated to the Consultant for payment of amounts due and owing including payment for services performed or furnished to the date and time of termination. Advanced Engineering and Environmental Services, Inc. (AE2S) proposes to render professional Engineering services for the Water Treatment Plant (WTP) Programmable Logic Controller (PLC) Replacement Services (Assignment) to the City of Lakeville, Minnesota (Owner). The following Letter Proposal provides a general overview of our understanding and the proposed scope of services, anticipated timeline, and estimate of associated professional fees. Project Understanding The City of Lakeville is looking to replace the outdated PLCs that control the processes within the WTP. Specifically, they will be replacing the following eight (8) PLCs: Filters 1 & 3, Filters 2 & 4, Filters 5 & 7, Filters 6 & 8, Chemicals, Air Blower, High Service, and Telemetry Master. Our project understanding is based on meetings and discussions with the City of Lakeville staff. This Assignment consists of providing professional PLC replacement services (hardware by Owner) and programming services for PLC hardware and SCADA software. Proposed Scope of Services Based on the understanding of the project and this Assignment, AE2S will perform the following professional services: 1. PLC Replacement and Programming Services PLC Replacement and Programming Services The PLC Replacement and Programming Services consists of professional services related to the project, including: • The PLC Replacement and Programming Services will be for the following separate PLCs: o Filters 1 & 3 o Filters 2 & 4 o Filters 5 & 7 o Filters 6 & 8 o Chemicals o Air Blower o High Service o Telemetry Master Page 2 of 3 • Coordinate with City staff on required hardware to be procured for PLC replacements and Telemetry Master Panel improvements o Owner to provide all required hardware • Meet with City staff to discuss/coordinate downtime and replacement for each PLC separately o This will include stepping through what each PLC is responsible for an understanding of the operational impact during replacement and startup • Determinate existing PLC, power supply, Input/Output (I/O) modules, networking modules o Anticipating direct reuse of existing wiring for PLC power supply, I/O modules, and networking cables • Remove existing PLC, power supply, I/O modules, networking modules, and chassis from back panel • Install new Owner provided PLC, power supply, I/O modules, and networking modules to back panel • Re-terminate existing wiring to corresponding PLC, power supply, and I/O modules • Re-terminate existing networking cables to corresponding networking modules • Commission and test PLC and module installation and wiring/circuitry • Program new PLCs with RSLogix 5000 o Anticipating similar PLC control and monitoring of existing equipment and instrumentation • Modify existing SCADA application with new tags and communications to new PLCs • Startup and demonstrate complete operation of new PLC and SCADA programming and operation • Telemetry Master Panel improvements to include: o Addition of Uninterruptible Power Supply (UPS) with bypass and monitoring relay o Addition of migration radio system o Replacement of backup hard-wired dialer ▪ Addition of relays and timers for backup dialer circuits • Provide design services and redrawn PLC schematics/drawings, based on available schematics/drawings and modifications made Owner’s Responsibilities Owner will be responsible for the following: • Designate a contact person to act as Owner’s representative with respect to the professional services to be rendered with complete authority to transmit instructions, receive information, and interpret and define the Owner’s policies and decisions with respect to professional engineering services. • Provide requested data and information as needed. • Procure and provide all hardware required for project • Provide access to system infrastructure as necessary to complete the scope of the project. • Provide review, comments, and approval of operation of new PLCs. • Decisions regarding project direction. Anticipated Project Schedule AE2S shall use commercially reasonable efforts to complete the Scope of Services outlined in this Letter Proposal within a reasonable time period. Page 3 of 3 Proposed Professional Fees AE2S proposes to provide the professional services consistent with the Scope of Services outlined in this Letter Proposal on an estimated hourly not to exceed basis (including expenses) in the amount of one hundred fifty-five thousand three hundred dollars ($155,300). Additional services, as required, to be coordinated with Owner in advance of performing work outside of the defined Scope of Services as defined in this Letter Proposal. Invoices shall be deemed to have been given and received on the third (3rd) business day following the mailing thereof. TCIC reserves the right to change the credit terms at any time, when in TCIC’s opinion Buyer’s financial condition or previous payment record so warrants. On any invoice not paid by maturity date of thirty (30) days from receipt of invoice (as defined in 2(a) above) Buyer shall pay interest from maturity to date of payment at the annual percentage rate of 18% (or such lower rate as may be the maximum allowable by law), together with TCIC’s costs of collection (including reasonable attorneys’ fees). No change or modification of any terms or conditions shall be valid or binding on either party unless in writing and signed by an authorized representative of each party. CHANGES AND CANCELLATIONS If Buyer issues a change order causing a delivery delay or cancels an order less than thirty (30) days prior to scheduled shipment, Buyer shall be subject to a twenty percent (20%) charge based upon the list price of the affected computer products, and up to a twenty percent (20%) charge, as determined by TCIC, for all other products. In addition, any such change in delivery dates caused by Buyer establishing a delivery date greater than thirty (30) days from Buyer’s original order date shall constitute a new order for the affected products in determining the appropriate list price. If Buyer cancels an order for special equipment or services any time after the order is received by TCIC, Buyer may be subject to charges for costs incurred for any amount not to exceed the purchase price. Special equipment or services are those items not set forth in the manufacturer’s current price list ACCEPTANCE OF PRODUCTS SOFTWARE PRODUCTS, WITHOUT EXCEPTION, ARE ACCEPTED UPON THE OPENING OF MEDIA PACKAGING. Hardware acceptance shall be accomplished by using applicable test procedures or programs established by TCIC. If installation by TCIC is not included in the purchase price, hardware acceptance shall be at the time of completion of final tests at the manufacturer’s plant. If Buyer has indicated at the time of purchase its intention to witness final tests, TCIC shall give Buyer at least two (2) days advance notice of the date of such tests. TCIC shall notify Buyer of any additional charges that may be associated with witnessing such tests. If installation by TCIC is included in the purchase price, acceptance shall occur at the initial installation site when TCIC demonstrates that the applicable diagnostic or verification programs work properly or the product is otherwise demonstrated to be in normal operating condition. If installation is scheduled or delayed by Buyer more than ten (10) days after delivery, Buyer shall be deemed to have accepted the products on the eleventh (11th) day from the date of delivery. PATENT AND COPYRIGHT INDEMITY TCIC’s manufacturers and suppliers may, except as otherwise provided below, defend or settle any claim made or any suit or proceeding brought against Buyer so far as it is based on an allegation that any product furnished hereunder infringes a patent or copyright on the country in which Buyer takes delivery of said product, if notified promptly in writing and given information, assistance and the sole authority to defend or settle same, and the manufacturers may pay all damages and costs finally awarded therein against Buyer. In case said product in such suit held to infringe and the use of said product is enjoined, or in the case of a settlement as referred to above, the manufacturers shall have the option, at its own expense, to procure for Buyer the right to continue using said product; or replace same with a non-infringing product; or modify same so it becomes non-infringing; or refund the depreciated value of said product and accept return of same. TCIC shall have no liability for any infringement of patents, copyrights, trademarks or other intellectual property rights resulting from compliance with Buyer’s purchase order, designs, specifications, or instructions; from modification of said products; from use of said product or from use of said product with products not supplied by TCIC or the manufacturer. The foregoing states the entire liability of the manufacturers, if any, for infringement of intellectual property rights by products furnished hereunder. COPYRIGHTED MATERIALS Unless otherwise agreed to in writing by TCIC, copyrighted materials (software and printed documentation) may not be copied except for archive purposes, to replace a defective copy, or for program error verification. LICENSED PRODUCTS - SOFTWARE With respect to those products which TCIC or the manufacturer licenses (software and related documentation) and which are supplied hereunder, the word “purchase” or similar or derivative words is understood to mean “license,” and “Buyer” or similar or derivative words is understood to mean “Licensee.” Title to licensed products shall remain with manufacturer, notwithstanding anything to the contrary herein. Licensing of manufacturer’s computer software shall be subject to standard manufacturer’s software terms applicable to the product. WARRANTY TCIC hardware products are only warranted to the extent of any warranty extended by the manufacturer against defects in materials and workmanship. If the manufacturer receives notice of such defects during the warranty period, the manufacturer shall, at its option, either repair or replace hardware products that prove to be defective. Software and firmware products that are designated for use with a hardware product, when properly installed on that hardware product, are warranted not to fail to execute their programming instructions due to defects in materials and workmanship. If the manufacturer received notice of such defects during the warranty period, the manufacturer shall repair or replace software media and firmware that do not execute their programming instructions due to such defects. Neither TCIC nor the manufacturer warrant that the operation of the software, firmware or hardware shall be uninterrupted or error free. Supplemental Statement: Supplemental statements setting forth the duration and implementation of warranty and installation are available for most product types. Products for which these statements are applicable are sold subject to their provisions. Duration and Commencement of Warranty Period: The warranty period for each product is specified in the supplemental statement of warranty and installation. The warranty period begins either on the date of delivery or, where the purchase price includes installation, on the date of installation. If Buyer schedules or delays installation more than ten (10) days after delivery, the warranty period begins on the eleventh (11th) day from the date of delivery. Place of Performance: Within the manufacturer’s service travel areas, warranty and installation services for products installed by the manufacturer and certain other products designated by the manufacturer will be performed at Buyer’s facility at no charge. Outside the manufacturer’s service travel areas, warranty and installation service will be performed at Buyer’s facility only upon the manufacturer’s prior agreement and Buyer shall pay the manufacturer’s round trip travel expenses and applicable additional expenses for such services. On-site warranty services are provided only at the initial installation point. If products eligible for on-site warranty and installation services are moved from the initial installation point, the warranty will remain in effect only if Buyer purchases additional inspection or installation services at the new site. For product warranties requiring return to the manufacturer, products must be returned to a service facility designated by the manufacturer. Buyer shall prepay shipping charges (and shall pay all duties and taxes) for products returned to the manufacturer for warranty service. Except for products returned to Buyer from another country, the manufacturer shall pay for return of products to Buyer. Installation and warranty services outside the country of initial purchase are included only if Buyer pays international prices. Service outside the country of initial purchase is subject to the conditions regarding service travel areas and initial installation point described above. Limitation of Warranty: The foregoing warranty shall not apply to defects resulting from: 1 Improper or inadequate maintenance by Buyer; 2 Buyer-supplied software or interfacing; 3 Unauthorized modification or misuse; 4 Operation outside of the environmental specifications for the product, or 5 Improper site preparation and maintenance. THE WARRANTY SET FORTH ABOVE IS EXCLUSIVE AND NO OTHER WARRANTY, WHETHER WRITTEN OR ORAL, IS EXPRESSED, OR IMPLIED. TCIC AND THE MANUFACTURER SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LIMITATIONS OF REMEDIES AND LIABILITY THE REMEDIES PROVIDED HEREIN ARE BUYER’S SOLE AND EXCLUSIVE REMEDIES. IN NO EVENT SHALL TCIC OR THE MANUFACTURER BE LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS) WHETHER BASED ON CONTRACT, TORT OR ANY OTHER LEGAL THEORY, OR FOR ATTORNEYS’ FEES. The foregoing limitation of liability shall not apply in the event that any TCIC product sold hereunder is determined by a court of competent jurisdiction to be defective and to have directly caused bodily injury, death or property damage; provided, that in no event shall TCIC’s liability for property damage exceed the greater of $50,000 or the purchase price of the specific product that caused such damage. NUCLEAR AND AVATION APPLICATIONS TCIC products are not specifically designed, manufactured or intended for sale as parts, components or assemblies for the planning, construction, maintenance, operation or use of any nuclear facility nor for the flight, navigation or communication of aircraft or ground support equipment. Any Buyer using TCIC products for these applications agrees that, except as otherwise provided herein, TCIC and the manufacturers are not liable, in whole or in part, for any claims or damages arising from such use. If Buyer uses TCIC products for these applications, Buyer agrees to indemnify and hold TCIC and the manufacturer harmless from any claims for loss, cost, damage, expense or liability arising out of or in connection with the use and performance of TCIC’s products in such nuclear or aviation applications. Test equipment used in a static application that is not a functional part, component or assembly of an aircraft and is not attached to or utilized in the flight of an aircraft is not subject to this paragraph. LIFE SUPPORT APPLICATIONS Products sold by TCIC are not designed for use in life support equipment where malfunction of such product can reasonably be expected to result in a personal injury. TCIC customers using or selling such products for use in life support equipment do so at their own risk/agree to fully indemnify TCIC and the manufacturer of such product for any damages resulting from such use or sale. MISCELLANEOUS Except as may be prohibited by the U. S. bankruptcy laws, in the event of any insolvency or ability to pay debts as they become due by a party hereto, or voluntary or involuntary bankruptcy proceeding by or against a party hereto, or appointment of a receiver or assignee for the benefit of creditors, the other party may elect to cancel any unfulfilled obligation hereunder. Any required notices shall be given in writing at the headquarters address of each party or to such other address as either party may substitute by written notice to the other. Buyer may not assign or transfer any of its rights, duties; or obligations herein without the prior written consent of the TCIC, and any purported attempt to do so shall be null and void. TCIC may assign or transfer its rights, duties and obligations herein. TCIC’s failure to exercise any of its rights hereunder shall not constitute or be deemed a waiver or forfeiture of such rights. No U. S. Government Procurement Regulations shall be included hereunder or be binding on either party unless specifically agreed to in writing. Both parties elect out of the United Nations Convention on the International Sale of Goods and choose the laws of Minnesota to apply. Stenographic, typographical and clerical errors are subject to correction. Unless otherwise agreed to by TCIC, Buyers who export from the U. S. products purchased hereunder assume all responsibility for obtaining any required export authorization. Buyer shall not export or re-export technical data or products supplied by TCIC, directly or through others, or the direct product of such data, to the proscribed countries listed in Section 379.4 and associated or successor sections of the U. S. Export Administration Regulations unless properly authorized by the U. S. Government. The laws of the State of Minnesota shall govern any dispute between the parties, including any regarding the enforcement, interpretation or validity hereof. The parties agree that any dispute relating to the products sold hereunder shall be subject to the exclusive jurisdiction and venue of the courts within the State of Minnesota, and that arbitration of any such dispute is prohibited. Headings used throughout this agreement are for reference purposes only and shall not be construed as a substantive portion of this agreement.
