RESOLUTION

RESOLUTION AUTHORIZING THE TRANSFER
OF CERTAIN REAL PROPERTY TO GRIST MILL CO.
WHEREAS, Grist Mill Co. has made a formal offer to acquire certain real
property from the City legally described as:
Lot 4, Block 4, AIRLAKE INDUSTRIAL PARK 1ST ADDITION, except the
south 70 feet thereof, Dakota County, Minnesota ("Property"),
ursuant to the erms f st to Purchase A reement attached hereto

as Exhibit "A" ("Grist Mill Purchase Agreement"); and
WHEREAS, the terms of Grist Mill's offer to purchase the property are fair
and reasonable; and
WHEREAS, the City is acquiring the Property from Airlake Development,
Inc. pursuant to the terms of a Real Estate Purchase Agreement attached hereto as
Exhibit "B" ("Airlake Development .Purchase Agreement") in order to facilitate the
overall development of Airlake Industrial Park; and
WHEREAS, maintaining ownership of the Property would not serve the public
interest.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Lakeville:
1. That the transfer of the Property by the City to Grist Mill has no
relationship to the City's Comprehensive Plan.

• 2. The Airlake Development Purchase Agreement and the Grist mill
Purchase Agreement are approved; and
3. City staff is authorized to complete the transactions of the Property
subject to the terms of the Airlake Development Purchase Agreement and Grist Mill
Purchase Agreement.
ADOPTED this 1st day of April 1996, by the City Council
of the City of Lakeville.
