RESOLUTION ESTABLISHING A
LAKEVILLE AREA ARTS CENTER BOARD
WHEREAS, the City Council believes in carrying forth a vision for cultural activities
and recognizes the importance of the arts to the Lakeville area community,
NOW, THEREFORE, BE IT RESOLVED by the City Council of Lakeville:
L BOARD ESTABLISHED..
There is hereby established a Lakeville Area Arts Center Board in the City of Lakeville
to advise the City Council on matters pertaining to the promotion, development and
accessibility of the arts for all its citizens and to .create an environment for artistic
excellence.
• 2. PURPOSE AND. SCOPE.
The purpose of the Lakeville Area Arts Center Board is to provide fora community-
gathering place that fosters creative expression and provides a myriad of artistic and
educational opportunities for people of all ages.
3. MEMBERSHIP.
The Lakeville Area Arts Center Board shall consist of nine (9) members; .one (1)
representative from each of the following:
Lakeville Area Art Guild
Lakeville Area Historical Society
Downtown Lakeville Business Association
Independent School District 194 Community Education
Lakeville Performing Arts
Representatives from these groups shall be nominated by the organizations
themselves and approved for appointment by the City Council
Resident representative from each of the school districts within Lakeville--
Independent School Districts 192, 194 and 196. Each of the three
representatives must reside within the City's corporate boundaries.
Youth Representative (age 16-23) maintaining afull-time student status. The
Youth Representative shall be a Lakeville resident.
Alternate -The alternate shall act as a regular voting member in the absence of
any regular member. The term of office for the alternate shall be for one
year. The alternate shall be a resident of the City of Lakeville.
Board members shall serve without compensation. However, .Board members
may, with the consent of the City Council, incur expense that is deemed
necessary.
Any member of the advisory board may be removed from office with or without
cause by a 4/5 vote of the entire City Council.

Staff Liaison -Arts Center Coordinator (Ex-Officio without voting privileges)
Terms of Office. Board members shall be appointed by the City Council for
terms of three years. In making the initial appointments to the Board, the Council shall
appoint three members to one-year terms; three members to two-year terms. and three
members to three-year terms. Thereafter, all appointments shall be for three-year terms.
4. DUTIES AND RESPONSIBILITIES.
• The duties and responsibilities of the Lakeville Area Arts Center Board are to:
a. Raise the awareness and promote the value of arts in the community.
b. Advise the Lakeville City Council on the management of the Lakeville Area Arts
Center.
c. Work with the Arts Center Coordinator to assist in the identification of cultural
needs in the community.
d. Stimulate participation in and an appreciation of the arts for all area residents.
e. Promote programs in the area of cultural activities as an important additional
source of recreation for area residents.
f. Assist the. Arts Center Coordinator in securing contributions/grants for the
programs and operations of the Arts Center.
g. Develop an action plan to carry out the goals and objectives of the Board.
h. Work with the Arts .Center Coordinator to plan, implement and evaluate
performing arts events at the Arts Center.
i. Work in an advisory capacity. with the Lakeville Area Arts Center Coordinator in
the formulation of an annual budget.
j. Work with the Arts Center Coordinator in the development and review of a
capital improvement budget and other long range plans..
k. Review initiatives prepared by Arts Center Coordinator offering feedback and
support of marketing plans.
1. Keep itself advised as to activities of other municipalities, school districts,
• regional, state and federal agencies concerning matters pertaining to the arts.

• 5. .ORGANIZATION.
Meetings. The Board shall hold a regular monthly meeting(s). Special meetings
may be held at the call of the Chairperson of the Board. The regular meeting in January
of each year shall serve as the organizational meeting of the Board.
Quorum Voting. A simple majority of the members then holding office shall
constitute a quorum for the transaction of Board business. All questions presented for a
vote of the Board shall be decided by a simple majority of those present.
Attendance. Any. member of the board who misses three (3) consecutive
meetings or a total of one-third of all meetings in a calendar year, due to unexcused
absences, shall automatically be removed from office without City .Council action, and
the City Administrator shall notify the member of his or her removal. Excused absences
include: a serious personal or family medical condition, death in the immediate family,
or unanticipated work-related commitment. It shall be the duty of each member to notify
the staff liaison or recording secretary if the member will be unable to attend a meeting.
Officers: The members of the Board, at their annual meeting in January of each
year, shall elect from their membership, by majority vote, a Chairperson, Vice-
Chairperson and Secretary to serve for the ensuing year. If the office of Chairperson is
vacated by resignation. or any other reason, the Vice-Chairperson shall become
• Chairperson and a new Vice-Chairperson shall be elected by a majority vote of the Board
membership. A vacation of the office of Vice-Chairperson shall also be filled by
election. No Board member shall serve as Chairperson for more than two consecutive
terms.
Duties:
Chairperson -The Chairperson .shall preside at all meetings of the Board and attend
Council meetings when items relevant to the role of the Board are before the Council.
Vice-Chairperson -The Vice-Chairperson shall perform the functions of the Chairperson
in the event of the tatter's absence.
Secretary -The Secretary shall insure that a permanent record of all meetings of the
Board is maintained and shall perform such other duties as are directed by the Board.
Committees: The Chairperson, with the approval of the Board, may create
committees and name members to serve on the committees as needs arise. Each
committee will report its activities or recommendations to the full Board. The committee
shall cease to exist when the task is complete.
Order of Business: The order of business will be conducted by "Robert's Rule
of Order, Revised". The business year shall be from January 1St through December 31St.
BE IT FURTHER RESOLVED that the City Council of the City of Lakeville hereby
establishes a Lakeville Area Arts Center Board to advise them on matters pertaining _ to the
promotion, development and accessibility of the arts for all its citizens and to create an
environment for artistic excellence.
